Capital Increase Price definition

Capital Increase Price. Means the entire consideration payable by the WFOE and/or its designated entity and/or individual to the Company for subscription of the Capital Increase Equity at each Exercise.
Capital Increase Price refer to All prices for the Capital Increase of RMB 30,000,000 paid for the increased registered capital of RMB 70,187,600 subscribed by the Investor of Current Round.
Capital Increase Price is specifically defined in item 4 in “Whereas” of this Agreement.

Examples of Capital Increase Price in a sentence

  • The WFOE and its designated entity and/or individual shall pay the Capital Increase Price to the Company for the Capital Increase Equity subscribed in each Exercise.

  • The WFOE and/or through other entities and/or individuals designated by the WFOE shall pay the Capital Increase Price to the Company in respect of the Increase Capital Shares subscribed in each Exercise.

  • The Investors have sufficient internal funds to pay the Capital Increase Price.

  • The calculation formula is as below: Repurchase Price = Capital Increase Price paid by the Investor× (1+6%×the number of natural days from the closing date (inclusive) to the date (inclusive) of actual payment of the repurchase price/365).

  • The equity repurchase price is the sum of the Capital Increase Price paid by the Investor and the income from the Capital Increase Price paid by the Investor based on an annual investment yield of 6%.

  • Based on the Valuation Basis agreed herein, RMB nine million nine hundred and fourteen thousand and thirty-eight (¥9,914,038) in the Capital Increase Price paid by the Investor shall be included in the registered capital of the Company as Capital Increased by the Investor and the remaining RMB four hundred and ninety million eighty-five thousand nine hundred and sixty-two (¥490,085,962) shall be included in capital reserves of the Company according to PRC GAAP as Capital Increase Premium.

  • Subject to Sections 2.1(c) and 6.1 hereof, the Investor shall pay the Capital Increase Price to the bank account designated by the Company in a lump sum.

  • Unless otherwise provided in the Transaction Documents or agreed upon by the Parties, the NIO Parties and the Target Company warrant that the Capital Increase Price under this Transaction shall be fully used for the development of the Main Businesses of the Target Company and other Group Members, including core technology, product research and development, production line upgradation, and capacity enhancement of new energy automobile industry.

  • Each Shareholder agrees that, any third party designated by Anhui High-tech Co. may jointly pay the Anhui High-tech Co. Capital Increase Price with Anhui High-tech Co. under the Investment Agreement.
