Capital Members definition

Capital Members means all of the Members holding Class C-1 Units.
Capital Members shall refer collectively to all such persons in their capacities as Capital Members.

Examples of Capital Members in a sentence

  • In connection with determining that an Additional Call Amount is necessary, the CORR Managers shall (A) issue Class B-1 Units (the “Additional Call Units”) to the Capital Members in the event such Capital Members actually fund Capital Contributions in respect of such Additional Call Amount (the “Contributing Members”) and (B) determine the Fair Market Value of each Class B-1 Unit of such Additional Call Units (the “Additional Call Unit FMV”).

  • Subject to any provisions of this Agreement relating to actions required to be approved by the Capital Members, if any, the business, property and affairs of the Company shall be managed and all powers of the Company shall be exercised by or under the direction of the Manager.

  • To the extent that B&B purchases Units or Additional Capital Units for cash on its own, B&B shall also be a Capital Member of such Membership Class and shall be entitled to all rights of Capital Members set forth herein.


More Definitions of Capital Members

Capital Members means each of the Members holding Capital Units.
Capital Members means purchasers of Units admitted to the Company as Members of one or more Membership Classes in exchange for a Capital Contribution, and “Capital Member” shall mean any one of the Capital Members. To the extent that the Manager purchases Units in one or more Membership Classes on its own behalf for cash, the Manager shall also be a Capital Member with respect to such Membership Class.
Capital Members means the members of the Company other than the Operating Member.
Capital Members mean holders of the Capital Units who are Members of the Company.
Capital Members means all Members with respect to their Capital Contributions (if any) and Adjusted Capital Contributions (if any) to the Company.
Capital Members means those Members set forth on Schedule 1.1(a).
Capital Members means all of the Members other than Crimson Incentive and any other Class D Members.
