Subject to the express provisions of this Article V, each Member may, but shall not be obligated to, contribute its Pro Rata Request Amount as called for in the applicable Capital Request Notice.
Upon the receipt of a Capital Request Notice, each Member shall, within 15 days of such receipt, provide written notice to the Company and the other Members as to the extent to which such Member intends to fund its Pro Rata Request Amount, whether in whole, in part or not at all (a “Response To Capital Call”).

Each Member will be required to make a Capital Contribution in cash in the amount stated in, on or before the date set forth in, and otherwise pursuant to the terms and provisions of, the Capital Request Notice (as may be amended or modified by the ECP Members in accordance with this Section) and otherwise in accordance with this Article III.
To the extent any Member rejects any Capital Request Notice in whole or in part, the amount so rejected may be requested from those Members who have accepted the initial request in full (and among such Members, pro rata according to their relative Percentage Interests).
Each Member will be required to make a Capital Contribution in cash in the amount stated in, on or before the date set forth in, and otherwise pursuant to the terms and provisions of, the Capital Request Notice and otherwise in accordance with this Article III.
The ECP Members shall have the right to amend, modify and/or withdraw any or all of the terms of such Capital Request Notice in their sole discretion at any time on or prior to the tenth Business Day following delivery of such Capital Request Notice in accordance with Section 16.3 to the ECP Members.
Any Capital Contributions funded pursuant to any Mandatory Capital Call shall be used by the Company or its Subsidiaries only for the type of Capital Call described in the Capital Request Notice.
