Capital Sharing Ratio definition

Capital Sharing Ratio means the percentages in which the Members participate in, and bear, certain Company items. The initial Capital Sharing Ratios of the Members are as follows: TRS Class A Member: 66.7% with respect to Stabilized Assets Properties and 0% with respect to Development Assets Properties TRS Class B Member: 0% with respect to Stabilized Assets Properties and 50% with respect to Development Assets Properties Mystic Member: 33.3% with respect to Stabilized Assets Properties and 50% with respect to Development Assets Properties
Capital Sharing Ratio means the following percentages with respect to each Member: Dividend Member 95 % LWI 5 %

Examples of Capital Sharing Ratio in a sentence

  • Schedule A hereto contains the name, address and Capital Sharing Ratio of each Member as of the date of this Agreement.

  • However, no amendment or waiver referred to above that would alter a Member’s Capital Contribution, Capital Account or Capital Sharing Ratio (except to the extent that such are indirectly affected by any amendments or waivers pertaining to such admissions or withdrawals of Managing or Non-Managing Members), the liability of a Member to third parties, or the removal of any Member shall be permitted without the prior approval of the Member so affected.

  • Dividend Member shall make cash Initial Capital Contributions to fund such distributions in proportion to its Capital Sharing Ratio.

  • Mystic Member hereby grants to TRS Member the option (the “Option”) to purchase up to 50% (in the aggregate, which 50% maximum percentage interest shall include TRS Member’s percentage interest in the Company as evidenced by its Capital Sharing Ratio as of each of the Option Exercise Dates (as defined below)) of Mystic Member’s interest in the entities that own each of the Hartford Hilton (“Hartford Hilton Owner”) and the Hartford Marriott (“Hartford Marriott Owner”), respectively.

  • To the extent acceptable to the Lender, the obligations under any Blackstone Financing Guaranty and related HGV Carveout Guaranty shall be limited to the applicable Member’s Capital Sharing Ratio; provided, however, that if required by the Lender, each Financing Guaranty shall be on a joint and several basis by the Guarantors.

  • The Seller’s Capital Sharing Ratio as of the date hereof is, and as of the Closing will be, eighty percent (80%).
