Capital Stock Equivalent definition

Capital Stock Equivalent shall have the meaning set forth in Section 11(a)(iii) hereof.
Capital Stock Equivalent means any right, option, warrant or other security which may be exercised, converted or exchanged for (i) any Component, including the Warrants, but excluding any MMT Warrants or (ii) if the context expressly requires, any share of Capital Stock that is not a Component.
Capital Stock Equivalent means the shares of a corporation, the quotas of a limited liability company, any bonds, options, warrants or securities convertible into and/or exchangeable for shares or quotas, as well as any interest in other corporate types, consortiums, investment funds and associations of any nature.

  • For purposes of this Section 14.3, the current market value shall be determined in the manner set forth in Section 11.4 hereof for the Trading Day immediately prior to the date of such exercise and, if such Capital Stock Equivalent is not traded, each such Capital Stock Equivalent shall have the value of one one-thousandth (1/1000th) of a share of Preferred Stock.

  • In lieu of fractional shares, the Company may pay to the registered holders of Right Certificates at the time such Right Certificates are exercised as herein provided an amount in cash equal to the same fraction of the current market value of one share of Capital Stock or Capital Stock Equivalent.
