Carry Shortfall definition
Carry Shortfall shall have the meaning set forth in the Amended and Restated OP Agreement.
Carry Shortfall means, if the dollar amount allocable to the Initial Limited Partner pursuant to Section 4.6.I.(ii)(b) is greater than the Carry Crystallization Value, the amount of the difference.
Carry Shortfall has the meaning provided in Section 3.1(c).
Examples of Carry Shortfall in a sentence
The amount of any Carry Shortfall paid to Nytis pursuant to this Section 3.1(c) (the “Carry Shortfall Payment Amount”) will be deemed to be a payment of Carry Costs by Carbon TN Mining Co for purposes of Section 3.1(b), and following the payment of the Carry Shortfall Payment Amount, Carbon TN Mining Co will have no further obligation or liability pursuant to Section 3.1(a)(i).
