Cash-Free definition

Cash-Free means that all Cash shall be added, as an addition, to the Interim Purchase Price and Final Purchase Price payable to the Seller, as applicable, unless withdrawn by Seller from the accounts of the Company, Subsidiary, or Affiliate prior to Closing.

Cash-Free means that immediately prior to the Closing, Sellers shall cause the Company to distribute to the Sellers any excess Cash and Cash Equivalents as of Closing Date. Additionally, “debt-free” means that the Sellers shall cause the Company to pay any long-term Indebtedness and cancel any guarantees related to such long-term Indebtedness, prior to or at Closing Date.
