Cash Overage definition

Cash Overage has the meaning set forth in Section 2.3(a).
Cash Overage as of any Determination Date, an amount equal to the remainder of (a) Total Cash Sources for the Applicable Period ending on such Determination Date MINUS (b) Non-Subordinated Fixed Charges for such Applicable Period MINUS (c) the aggregate amount of all accrued and unpaid Senior Subordinated Payments (including for the current period) MINUS (d) 110% of the amount of the accreted discount on the Senior Subordinated Notes with respect to such Applicable Period.
Cash Overage is defined in Section 3.6(a)(i).

Examples of Cash Overage in a sentence

  • The amount of the Estimated Closing Cage Cash Overage (if any) determined to be due and owing to Sellers pursuant to the Estimated Cage Cash Closing Statement shall be paid by Buyer at the Closing pursuant to Section 2.01.

  • Any such amounts determined to be payable pursuant to the Final Cage Cash Closing Statement shall be paid either to Sellers (in the case of a Final Closing Cage Cash Overage) or Buyer (in the case of a Final Closing Cage Cash Shortage) pursuant to Section 3.03(e) (the “Final Cage Cash Closing Payment”).
