Tax Refund means a refund of Taxes previously paid and any overpayment interest within the meaning of Section 6611 of the Code or any similar provision under applicable Tax Law (whether paid by way of a refund or credited against any liability for related Taxes).
Cash Receipts means all cash receipts of the Company from whatever source derived, including without limitation capital contributions made by the Member(s); the proceeds of any sale, exchange, condemnation or other disposition of all or any part of the assets of the Company; the proceeds of any loan to the Company; the proceeds of any mortgage or refinancing of any mortgage on all or any part of the assets of the Company; the proceeds of any insurance policy for fire or other casualty damage payable to the Company; and the proceeds from the liquidation of assets of the Company following termination.
Cash Payment has the meaning set forth in Section 2.02(a).
Refund Amount means the maximum refund that is admissible;
Adjustment Escrow Amount means $1,000,000.
Claim Amount means the amount calculated in accordance with Section 6.2 of this Policy.
Adjustment Escrow Fund means the Adjustment Escrow Amount deposited with the Escrow Agent, as such amount may be increased or decreased as provided in this Agreement and the Escrow Agreement, including any interest or other amounts earned thereon.
Earnout Amount has the meaning provided in Section 2.9(b).
Closing Payment Amount has the meaning specified in Section 1.5.
Earn-Out Amount has the meaning set forth in Section 2.07(a).
Net Cash Payments means, with respect to any Disposition, the aggregate amount of all cash payments received by the Company and its Restricted Subsidiaries directly or indirectly in connection with such Disposition, whether at the time of such Disposition or after such Disposition under deferred payment arrangements or Investments entered into or received in connection with such Disposition (including, without limitation, Disposition Investments); provided that:
Indemnity Escrow Amount means $3,000,000.
Retained Excess Cash Flow Amount means, at any date of determination, an amount, determined on a cumulative basis, that is equal to the aggregate cumulative sum of the Excess Cash Flow that is not required to be applied as a mandatory prepayment under Section 2.11(b)(i) for all Excess Cash Flow Periods ending after the Closing Date and prior to such date; provided that such amount shall not be less than zero for any Excess Cash Flow Period.
Release Amount means, for a Property, the following applicable amount together with any other amounts specified in Section 2.4.4:
Closing Cash Payment has the meaning set forth in Section 2.06(a).
Refund means repayment to the Plan for medical or dental benefits that it has paid toward care and treatment of the Injury or Sickness.
Tax Refunds means refunds of any Cash paid by the Participating CCAA Parties on account of Taxes, refunded to such Participating CCAA Parties from time to time by the applicable Taxing Authorities;
Excess Cash Payment Date means the date occurring 95 days after the last day of each Fiscal Year of Holdings (commencing with the Fiscal Year of Holdings ended December 31, 2010).
Adjustment Escrow Funds means, at any time, the portion of the Adjustment Escrow Amount then remaining in the Adjustment Escrow Account.
Deficiency Claim Amount has the meaning set forth in Section 5.5(a).
Earn-Out Payment has the meaning set forth in Section 2.07(a)(i).
Earnout Payment has the meaning set forth in Section 2.3(b).
Earn-Out Consideration has the meaning set forth in Section 2.08(a)(i).
Post-Closing Adjustment Amount has the meaning set forth in Section 1.9.3.
Withheld Amount means any amount required to be withheld by the Partnership to pay over to any taxing authority as a result of any allocation or distribution of income to a Partner.
Premium Amount The amount of premium due to the Note Insurer in accordance with the terms of the Insurance Agreement.
