Category 1 Person definition

Category 1 Person means a person who is designated from time to time as a Category 1 Person by the Company's Board of Directors; provided, that the Company's Board of Director's may resolve at any time prior to a Change of Control that a person is no longer a Category 1 Person as a result of which that person will no longer be entitled to the rights or benefits hereunder of a Category 1 Person.
