CATV Systems definition

CATV Systems means the cable television distribution systems owned and operated, directly or indirectly, by the Company or any of its Subsidiaries that receive television and video signals by antenna, microwave transmission or satellite transmission and which amplify such signals and distribute them via coaxial or fiber optic cable.
CATV Systems means any cable distribution system that ------------ receives broadcast signals by antennae, microwave transmission, satellite transmission or any other form of transmission that amplifies such signals and distributes them.
CATV Systems shall refer to (a) Seller's complete CATV reception and distribution systems as presently conducted by Seller in or around the communities of Ellenboro, Bostic and certain nearby unincorporated areas of Ruth▇▇▇▇▇▇ ▇▇▇nty, North Carolina, consisting of one or more headends, trunk cable, feeder cable, microwave transmission and reception facilities, drops and associated electronic equipment, which are, or are capable of being, operated as an independent system without interconnections to other CATV systems; and (b) all of the Assets and business of such systems, as more particularly described in Schedules 1.2 and 1.7.

  • Between the date of this Agreement and the Closing Date, the CATV Systems shall not have suffered, on or prior to Closing, any loss, claim, casualty, or calamity that has a material adverse effect on the Assets or the CATV Systems, whether or not disclosed in Seller's amended Schedules and whether or not covered by insurance.

  • In addition to the foregoing, the Borrowers will not, nor will they permit their Subsidiaries to, incur or suffer to exist any obligations in an aggregate amount in excess of $50,000,000 at any one time outstanding in respect of surety and performance bonds backing pole rental or conduit attachments and the like, or backing obligations under Franchises, arising in the ordinary course of business of the CATV Systems of the Borrowers and their Subsidiaries.

  • Each of the Borrowers and their Subsidiaries have reviewed and evaluated in detail the FCC rules currently in effect (the “Rate Regulation Rules”) implementing the cable television rate regulation provisions of the Communications Act and the applicability of such Rate Regulation Rules to the CATV Systems.

  • The Borrowers will at all times ensure that not more than 15% of gross operating revenue of the Borrowers and their Subsidiaries for any fiscal year shall be derived from any line or lines of business activity other than the business of owning and operating CATV Systems and related communications businesses, including the sale of local advertising on CATV systems.

  • Seller shall bear the risk of loss on or prior to Closing with respect to the Assets and the CATV Systems as a result of any loss, claim, casualty, or calamity.

  • Seller shall continue to operate the CATV Systems, shall maintain the Assets (including maintenance and replenishment of all inventories of spare equipment and parts reasonably adequate for the needs of the CATV Systems, including without limitation those listed in Schedule 1.2), and shall keep all of its business books, records, and files all in the ordinary course of business in accordance with past practices, consistently applied.

  • The CATV Systems and the Assets are suitable for continued use in the manner in which they are presently operated without the need for repairs or replacement, except for the repairs and maintenance normally arising in the ordinary course of business of a cable system of similar age and geographic location.

  • Seller has not received any notice heretofore not complied with, from any federal, state, local or other governmental authority or agency having jurisdiction over the CATV Systems or the Assets, or any insurance or inspection body, that the CATV Systems or the Assets fail to materially comply with any applicable law, ordinance, regulation, building or zoning law, or the requirements of any public authority or body.

  • Except as expressly set forth in the Schedules, the CATV Systems are properly located and materially comply with all applicable laws, rules and regulations.

  • Schedule 5.14.1 contains a true and complete list of the names, positions, current hourly wages or annual salary, and other compensation amounts of all employees of the CATV Systems.


More Definitions of CATV Systems

CATV Systems or "cable system" is a facility consisting of a set of closed transmission paths and associated signal generation, reception and control equipment designed to provide video and other programming and information to subscribing members of the public.
CATV Systems. CATV System" shall refer to a complete CATV reception and distribution system of Company which is part of Company's CATV Business and consisting of one or more headends, equipment, Subscriber drops and associated electronic equipment, which is, or is capable of being, without modification, operated as an independent system without interconnections to other systems. Any systems which are interconnected or which are served in total or in part by a common headend shall be considered a single CATV System.
CATV Systems shall refer to (a) Seller's complete CATV reception and distribution systems as presently conducted by Seller in or around the communities of Sapphire, Cedar Creek and Cedar Ridge Estates and certain nearby unincorporated areas of Jack▇▇▇ ▇▇▇nty, the communities of Lake Lure, Chimney Rock and Fairfield Mountains and certain nearby unincorporated areas of Ruth▇▇▇▇▇▇ ▇▇▇nty, the communities of Bat Cave and Gert▇▇ ▇▇▇ certain nearby unincorporated areas of Hend▇▇▇▇▇ ▇▇▇nty, and the community of Mill Springs and certain nearby unincorporated areas of Polk County, all in the state of North Carolina, consisting of one or more headends, trunk cable, feeder cable, microwave transmission and reception facilities, drops and associated electronic equipment, which are, or are capable of being, operated as an independent system without interconnections to other CATV systems; and (b) all of the Assets and business of such systems, as more particularly described in Schedules 1.2 and 1.7.

CATV Systems shall refer to (a) Seller's complete CATV reception and distribution systems as presently conducted by Seller in or around (i) the unincorporated areas of Harr▇▇ ▇▇▇nty known as Huffman and North Huffman, the incorporated area of the City of Houston known as Lakewood Heights, and the unincorporated areas of Harr▇▇ ▇▇▇nty known as Indian Shores and Spanish Cove (the "Huffman System"); (ii) the incorporated community of Prairie View, the incorporated community of Wall▇▇, ▇▇e campus of Prairie View A & M University, and nearby unincorporated areas of Wall▇▇ ▇▇▇nty (the "Prairie View System"); (iii) the incorporated community of Cut and Shoot and nearby unincorporated areas of Mont▇▇▇▇▇▇ ▇▇▇nty (the "Cut and Shoot System"); (iv) the incorporated community of Brookshire and nearby unincorporated areas of Wall▇▇ ▇▇▇nty (the "Brookshire System"); (v) the unincorporated area of Liberty County known as Tark▇▇▇▇▇ (▇▇e "Tark▇▇▇▇▇ ▇▇▇tem"); (vi) the unincorporated areas of Liberty County and Polk County known as and near Ace, including unincorporated areas under control of the Wild Country P.O.A., the Big Thickett P.O.A. and Tayl▇▇ ▇▇▇es Estates Maintenance Committee (the "Ace System"); and (vii) the incorporated communities of Simonton and Fulshear and nearby unincorporated areas of Fort Bend County (the "Simonton System"); all in the State of Texas, consisting of one or more headends, trunk cable, feeder cable, microwave transmission and reception facilities, drops and associated electronic equipment, which are, or are capable of being, operated as an independent system without interconnections to other CATV systems; and (b) all of the Assets and business of such systems, as more particularly described in Schedule 1.7.

Related to CATV Systems

  • Company Systems means the computer systems, including Software, hardware, networks, databases, systems, telecommunications equipment and websites (and all information transmitted thereby or stored therein), owned, leased, licensed or otherwise used or held for use by the Company and its Subsidiaries in the conduct of their respective businesses.

  • Business Systems means all Software, computer hardware (whether general or special purpose), electronic data processing, information, record keeping, communications, telecommunications, networks, interfaces, platforms, servers, peripherals, and computer systems, including any outsourced systems and processes, that are owned or used or held for use in the conduct of the Company Business.

  • Computer Systems means all servers, computer hardware, networks, software databases, telecommunications systems, interfaces, applications and related systems of the Company or used by the Company and its contractors.

  • IT Systems means all software, computer hardware, servers, networks, platforms, peripherals, and similar or related items of automated, computerized, or other information technology (IT) networks and systems (including telecommunications networks and systems for voice, data, and video) owned, leased, licensed, or used (including through cloud-based or other third-party service providers) in the current conduct of the business of the Loan Parties.

  • Systems means any: (i.) computer programs, including, but not limited to, software, firmware, application programs, operating systems, files and utilities; (ii.) supporting documentation for such computer programs, including, without limitation, input and output formats, program listings, narrative descriptions and operating instructions; (iii.) data and/or media; (iv.) equipment, hardware, servers, and/or devices; and/or (v.) network(s).
