CCC Collateral Loan means a Collateral Loan (other than a Defaulted Loan) with an S&P Rating of “CCC+” or lower.

"CFTC" means the Commodity Futures Trading Commission. "Change in Control" means (a) the failure of the Parent to own, directly or indirectly, 100% of the Equity Interests in each Borrower (other than nominal interests), (b) ▇▇▇▇▇▇▇▇▇ or an Affiliate thereof ceases to be the investment adviser to, or otherwise control the investment management and investment policies of the Parent or (c) the dissolution, termination or liquidation in whole or in part, transfer or other disposition, in each case, of all or substantially all of the assets of the Parent (other than in connection with the Permitted Merger).
