CDM Purchase Price definition

CDM Purchase Price means an amount equal to (i) the CDM Base Purchase Price, plus (ii) the Closing Cash-on-Hand, minus (iii) the CDM Closing Indebtedness, plus (iv) 45% of the amount (if any) by which the Closing Net Working Capital exceeds the Upper Target Net Working Capital, minus (v) 45% of the amount (if any) by which Lower Target Net Working Capital exceeds the Closing Net Working Capital. “Claimed Amount” has the meaning set forth in Section 8.03(b). “Claimed Deposit Amount” has the meaning set forth in Section 8.05(e) “Closing” has the meaning set forth in Section 2.01.
CDM Purchase Price means $1,000.00.

  • The CDM Purchase Price and the CDE Purchase Price and each of their respective components shall each be calculated in accordance with the Agreed Accounting Principles and in a manner consistent with the applicable definitions contained in this Agreement.
