CEC Common Stock definition

CEC Common Stock means the common stock of CEC, par value $0.01 per share.
CEC Common Stock means registered listed common stock of Caesars Entertainment Corporation, a Delaware corporation.
CEC Common Stock means the common stock (other than shares of restricted stock or options issued pursuant to CEC equity plans), $0.01 par value per share, of CEC.

  • CEC will use commercially reasonable best efforts to cause the shares of CEC Common Stock to be issued in the Merger and shares reserved for issuance pursuant to Section 3.2 hereof to be approved for quotation on the NASDAQ, subject to official notice of issuance, as promptly as practicable, and in any event before the Effective Time.

  • Subject to the provisions of this Article III, each share of CAC Common Stock (whether or not subject to restriction) issued and outstanding immediately prior to the Effective Time will be converted into, and become exchangeable for, that number of shares of CEC Common Stock equal to the Exchange Ratio (in the aggregate for all such shares of CAC Common Stock, the “Merger Consideration”).

  • No appraisal or dissenters’ rights shall be available to holders of CAC Common Stock or holders of CEC Common Stock in connection with the Merger.
