At any time fail to be (i) either a wholly owned member of the Cendant Group, as defined in the Tax Sharing Agreement, or a wholly owned member of the Wyndham Worldwide Group, as defined in the Wyndham Worldwide Tax Sharing Agreement and (ii) an entity wholly owned directly or indirectly by FAC.
