For clarity (and subject to this Section 2.1.3 regarding Cereblon Programs and to Section 2.3.4(b) regarding “Separate Programs”), if two (2) or more Program Products are each Directed against the same applicable Program Target (based upon the same Functional Phenotypic Assay Similarity Criteria, all subject to Section 2.3.4), then each such Program Product shall be deemed part of the same applicable Program for purposes of this Agreement and any applicable Development & Commercialization Agreement.
The term “E3 Ligase Binding Moiety” shall mean a moiety that binds to Cereblon or another E3 ligase in possession of or Controlled by C4T or its Affiliates.
As used herein, a “Calico Grantback Claim” means a claim of a Collaboration Patent solely owned by Calico that claims a discovery, improvement, modification, enhancement or creation to a E3 Ligase Binding Moiety (other than those that bind to Cereblon) and/or a Linker in each case delivered by C4T pursuant to a Joint Research Plan or claimed within the C4T Patent Rights that exist as of the Effective Date.
If Celgene exercises its Opt-In Right with respect to the Stat3 Deal Target Program, all subsequent Deal Target Programs, E3 Ligase Programs, and Vividion Cereblon Programs for which Celgene exercises its Opt-In Right shall be treated as per the structure described in Section 3.1.1(a), (b), and (c) of the Collaboration Agreement, without regard to the exercise of the Opt-In Right for the Stat3 Deal Target Program.
