Certain Employee Matters. Seller is in compliance in all material respects with all applicable equal employment opportunity laws, ordinances, regulations, nondiscrimination, wages, hours, benefits, vacation benefits, social security and similar taxes and occupation safety and health and other applicable rules (the "Employment Regulations") and is not engaged in any practice that may give rise to a claim under the Employment Regulations. Other than as set forth in Schedule K, (i) Seller is not aware of any facts or circumstances, which could form the basis for assertion of a claim or liability, in each case, regarding non-compliance with Employment Regulations and (ii) Seller is not subject to any discrimination claims or affirmative action obligations;
