Certain Funds Funding Date shall have the meaning ascribed thereto in the Funds Certain Incremental Amendment and, except as otherwise provided herein, shall mean the date of the initial funding of the applicable 2017 Incremental Term Loans or, with respect to the 2017 Incremental Revolving Credit Commitments, the earliest of any of the Certain Funds Funding Dates to occur. The parties hereto agree that if any Lenders are awarded roles or titles in accordance with Section 2 of the Engagement Letter, the Engagement Parties shall cause such fees as may be determined by the Engagement Parties, in consultation with the Borrower, to be paid to such Lenders on the Certain Funds Funding Date from the funds otherwise payable by the Borrower to the Commitment Parties hereunder. You agree that, once paid, the fees or any part thereof payable hereunder shall not be refundable under any circumstances, except as expressly provided above or otherwise agreed in writing by you and the person entitled to such payment. All fees payable hereunder shall be paid in immediately available funds, in U.S. dollars, and shall be in addition to the reimbursement of our reasonable and documented out-of-pocket expenses as (and to the extent) provided for in the Engagement Letter. You agree that your obligation to pay the fees payable hereunder will not be subject to counterclaim or setoff for, or be otherwise affected by, any claim or dispute you may have. You agree that we may, in our sole discretion, share all or a portion of any of the fees payable pursuant to this Fee Letter with any of the other Lenders or any of our affiliates.

Examples of Certain Funds Funding Date in a sentence

  • The 2017 Incremental Commitments (including, for the avoidance of doubt, the 2017 Incremental Revolving Credit Commitment Increase) shall terminate on the last day of the Certain Funds Period if the Certain Funds Transactions have not been consummated by such date or the Certain Funds Funding Date has not yet occurred.

  • The 2017 Incremental Term Loan Commitments shall automatically terminate upon the making of the applicable 2017 Incremental Term Loans thereunder on the relevant Certain Funds Funding Date relating thereto.

  • For the avoidance of doubt, any such term loans may be net funded on the Certain Funds Funding Date to account for the Upfront Fees.

Related to Certain Funds Funding Date

  • Funding Date is any date on which a Credit Extension is made to or for the account of Borrower which shall be a Business Day.

  • Delayed Draw Funding Date has the meaning as set forth in Section 2.5(a).

  • Certain Funds Period means the period from and including the date of this Agreement to and including the earlier of:

  • Initial Funding Date means the Funding Date on which the first Loan is made pursuant to this Agreement, as specified in the Initial Borrower Funding Request.

  • Reserve Account Funding Date means the Distribution Date which occurs not later than the earliest of (a) the Distribution Date with respect to the Monthly Period that commences not later than three months prior to the Distribution Date with respect to the first Monthly Period in the Controlled Accumulation Period, (b) in the event that the average Excess Spread Percentage for any three consecutive Monthly Periods ending in the May 2023 Monthly Period or any Monthly Period thereafter is less than 2%, the Distribution Date with respect to such Monthly Period, (c) in the event that the average Excess Spread Percentage for any three consecutive Monthly Periods ending in the November 2023 Monthly Period or any Monthly Period thereafter is less than 3%, the Distribution Date with respect to such Monthly Period and (d) such earlier Distribution Date as the Transferor may determine by written notice to the Trustee and the Servicer. For this purpose, the “Excess Spread Percentage” for any Monthly Period shall be equal to the Series Adjusted Portfolio Yield for such Monthly Period minus the Base Rate for such Monthly Period.

  • Advance Date means the funding date of any Advance.

  • Restatement Date means the earlier to occur of (i) the date the Board, a committee of the Board or the officers of the Company authorized to take such action if Board action is not required, concludes, or reasonably should have concluded, that the Company is required to prepare an Accounting Restatement, or (ii) the date a court, regulator or other legally authorized body directs the Company to prepare an Accounting Restatement.

  • Initial Borrowing Date means the date occurring on or after the Effective Date on which the initial Borrowing of Loans occurs.

  • Draw Date means, with respect to any Insured Distribution Date, the third Business Day immediately preceding such Insured Distribution Date.

  • Closing Date Term Loan has the meaning specified in Section 2.01(a).

  • Second Restatement Date means October 20, 2011.

  • Closing Date Term Loans means the Term Loans made by the Term Lenders on the Closing Date to the Borrower pursuant to Section 2.01(1).

  • Loan Closing Date means the date upon which the Loan is made to the Company.

  • Disbursement Date is defined in Section 2.6.2.

  • Index Related Payment Date means, in relation to any Index and an Index Determination Date, any payment date under the Preference Shares for which the amount payable is calculated by reference to the Index as determined on such Index Determination Date;

  • Loan Payment Date means any date on which any Bond Service Charges are due and payable.

  • Incremental Facility Closing Date has the meaning set forth in Section 2.14(d).

  • Amendment Date has the meaning set forth in the preamble.

  • Borrowing Date any Business Day specified by the Borrower as a date on which the Borrower requests the relevant Lenders to make Loans hereunder.

  • Project Funding Agreement means an agreement in the form of Schedule E that incorporates the terms of this Agreement and enables the Funder to provide one-time or short term funding for a specific project or service that is not already described in the Schedules;

  • Series Closing Date means the date designated as such in the Series Term Sheet.

  • Refunding Date as defined in Section 2.7.

  • Syndication Date means that date upon which the Administrative Agent determines in its sole discretion (and notifies the Borrower) that the primary syndication (and resultant addition of institutions as Banks pursuant to Section 13.04) has been completed.

  • Latest Term Loan Maturity Date means, at any date of determination, the latest maturity or expiration date applicable to any Term Loan hereunder at such time, including the latest maturity or expiration date of any New Term Loan or any Extended Term Loan, in each case as extended in accordance with this Agreement from time to time.

  • Springing Maturity Date has the meaning specified in the definition of “Maturity Date”.
