Certain Funds Funding Date shall have the meaning ascribed thereto in the Funds Certain Incremental Amendment and, except as otherwise provided herein, shall mean the date of the initial funding of the applicable 2017 Incremental Term Loans or, with respect to the 2017 Incremental Revolving Credit Commitments, the earliest of any of the Certain Funds Funding Dates to occur. The parties hereto agree that if any Lenders are awarded roles or titles in accordance with Section 2 of the Engagement Letter, the Engagement Parties shall cause such fees as may be determined by the Engagement Parties, in consultation with the Borrower, to be paid to such Lenders on the Certain Funds Funding Date from the funds otherwise payable by the Borrower to the Commitment Parties hereunder. You agree that, once paid, the fees or any part thereof payable hereunder shall not be refundable under any circumstances, except as expressly provided above or otherwise agreed in writing by you and the person entitled to such payment. All fees payable hereunder shall be paid in immediately available funds, in U.S. dollars, and shall be in addition to the reimbursement of our reasonable and documented out-of-pocket expenses as (and to the extent) provided for in the Engagement Letter. You agree that your obligation to pay the fees payable hereunder will not be subject to counterclaim or setoff for, or be otherwise affected by, any claim or dispute you may have. You agree that we may, in our sole discretion, share all or a portion of any of the fees payable pursuant to this Fee Letter with any of the other Lenders or any of our affiliates.
