Certain terms definition

Certain terms used herein are defined in Section 11.1.
Certain terms. “Term Sheet” means the final pricing term sheet dated August 13, 2020, relating to the offering and sale of the Notes. “Trading Day” means, (1) except for purposes of determining amounts due upon conversion, a day on which (i) trading in the Class A Common Stock (or other security for which a closing sale price must be determined) generally occurs on The New York Stock Exchange or, if the Class A Common Stock (or such other security) is not then listed on The New York Stock Exchange, on the principal other U.S. national or regional securities exchange on which the Class A Common Stock (or such other security) is then listed or, if the Class A Common Stock (or such other security) is not then listed on a U.S. national or regional securities exchange, on the principal other market on which the Class A Common Stock (or such other security) is then traded and (ii) a Last Reported Sale Price for the Class A Common Stock (or such other security) is available on such securities exchange or market, and (2) for purposes of determining amounts due upon conversion only, a day on which (x) there is no Market Disruption Event and (y) trading in the Class A Common Stock generally occurs on The New York Stock Exchange or, if the Class A Common Stock is not then listed on The New York Stock Exchange, on the principal other U.S. national or regional securities exchange on which the Class A Common Stock is then listed or, if the Class A Common Stock is not then listed on a U.S. national or regional securities exchange, on the principal other market on which the Class A Common Stock is then listed or admitted for trading. If the Class A Common Stock is not so listed or admitted for trading, “Trading Day” means a Business Day. “transfer” shall have the meaning specified in Section 2.05(c) [Exchange and Registration of Transfer of Notes; Restrictions on Transfer; Depositary]. “Trigger Event” shall have the meaning specified in Section 14.04(c) [Adjustment of Conversion Rate]. “Trust Indenture Act” means the Trust Indenture Act of 1939, as amended, as it was in force at the date of execution of this Indenture; provided, however, that in the event the Trust Indenture Act of 1939 is amended after the date hereof, the term “Trust Indenture Act” shall mean, to the extent required by such amendment, the Trust Indenture Act of 1939, as so amended. 12
