Change in Capital Stock definition

Change in Capital Stock means any increase or decrease in the number of shares of issued Common Stock resulting from a subdivision or consolidation of shares, whether through reorganization, recapitalization, stock split-up, stock distribution or combination of shares, or the payment of a share dividend or other increase or decrease in the number of such shares outstanding effected without receipt of consideration by the Company.
Change in Capital Stock. There shall occur no change in the ownership of any of the capital stock of any of the Borrowers, except with respect to any merger by any Borrower or a Subsidiary of any Borrower into another Borrower or the dissolution and distribution of the assets of any Borrower or Subsidiary of any Borrower to a Borrower.
