Change in Key Personnel definition

Change in Key Personnel means all three Key Personnel cease to devote substantially all of their business time and attention to the affairs of the Investment Advisor unless replaced within 60 days with successors reasonably acceptable to the Required Lenders in their discretion, with such acceptance not to be unreasonably withheld or delayed.
Change in Key Personnel means the appointment of a president or chief financial officer of Hemagen other than ▇▇▇▇▇▇▇ ▇. ▇▇▇▇▇ and ▇▇▇▇▇▇▇ ▇. ▇▇▇▇▇, respectfully, or a material change in the duties of the persons holding such offices, whether such appointment occurs as a result of resignation, termination of employment (for any reason), death, incapacity, or for any other reason, except for temporary appointments occasioned by medical or maternity reasons. In the event of death or incapacity, a Change in Key Personnel shall occur sixty (60) days thereafter if a successor reasonably acceptable to the Bank has not been appointed.
