Change of Control Repayment Date definition

Change of Control Repayment Date has the meaning given in Section 2.5(b).
Change of Control Repayment Date has the meaning assigned to that term in subsection 2.05(a)(iv)(A)(1).

Examples of Change of Control Repayment Date in a sentence

  • Any Lender that does not deliver to the Company notice accepting the Change of Control Offer at least five (5) days prior to the Change of Control Repayment Date shall be deemed to have rejected such Change of Control Offer.

  • Any Lender that elects to have all or a portion of the outstanding principal amount of its Loans prepaid as part of the Change of Control Offer shall deliver notice to the Borrower of its election at least five (5) days prior to the scheduled Change of Control Repayment Date.

  • Notwithstanding the foregoing provisions of this clause (i), the failure of the Borrower to deliver the notice referred to in the second sentence of this clause (i) to any Lender shall not affect or impair the obligation of the Borrower to prepay all or any portion of the outstanding principal amount of such Lender's Loans on the applicable Change of Control Repayment Date.

  • Notwithstanding anything to the contrary contained in this Agreement, if the Borrower is required to and fails to comply with the immediately preceding sentence, then an Event of Default shall occur under Section 11.01(a) as of the applicable Change of Control Repayment Date.

  • Within ten (10) days following any Change of Control, the Borrower shall deliver a notice to the Administrative Agent describing in reasonable detail the transaction or transactions that constitute the Change of Control and offering to prepay the Loans (the "Change of Control Offer") on the date specified in such notice, which date shall be no earlier than thirty (30) and no later than sixty (60) days from the date of such notice (the "Change of Control Repayment Date").

  • Change of Control Redemption Date shall have the meaning set forth in Section 7.2;

  • Change of Control Repurchase Event means the occurrence of both a Change of Control and a Below Investment Grade Rating Event.

  • Change of Control Redemption Premium means 125%.

  • Change of Control Put Date shall have the meaning specified in Section 11.1.

  • Change of Control Payment Date has the meaning provided in Section 4.15.

  • Change of Control Redemption Price shall have the meaning set forth in Section 7.3;

  • Change of Control Purchase Date shall have the meaning specified in Section 10.1.

  • First Repayment Date means, in relation to each Tranche (and subject to clause 6.3), the date falling three (3) months after the earlier of (a) the Drawdown Date of the Delivery Advance relevant to such Tranche and (b) the last day of the Drawdown Period for the Delivery Advance relevant to such Tranche;

  • Change of Control Conversion Date shall have the meaning provided in the Articles Supplementary.

  • Tax Event Repayment Date means the date set out in a notice from the Issuer to the Bondholders pursuant to Clause 10.4 (Early redemption option due to a tax event).

  • Change of Control Value means (i) the per share price offered to stockholders of the Company in any such merger, consolidation, reorganization, sale of assets or dissolution transaction, (ii) the price per share offered to stockholders of the Company in any tender offer or exchange offer whereby a Change of Control takes place, or (iii) if such Change of Control occurs other than pursuant to a tender or exchange offer, the Fair Market Value per share of the shares into which Awards are exercisable, as determined by the Committee, whichever is applicable. In the event that the consideration offered to stockholders of the Company consists of anything other than cash, the Committee shall determine the fair cash equivalent of the portion of the consideration offered which is other than cash.

  • Put Option Repayment Date means the settlement date for the Put Option pursuant to Clause 10.3 (Mandatory repurchase due to a Put Option Event).

  • Repayment Event means any event or condition which gives the holder of any note, debenture or other evidence of indebtedness (or any person acting on such holder’s behalf) the right to require the repurchase, redemption or repayment of all or a portion of such indebtedness by the Company or any of its subsidiaries.

  • Change of Control Date means the date on which a Change of Control occurs.

  • Final Repayment Date means the date falling on the earlier of (i) the date falling on the sixth anniversary of the Drawdown Date and (ii) 30 November 2023.

  • Principal Payment Date means, if applicable, each date designated as such in the Series Term Sheet.

  • Asset Sale Prepayment Event shall not include any transaction permitted by Section 10.4 (other than transactions permitted by Section 10.4(b) and Section 10.4(o), which shall constitute Asset Sale Prepayment Events).

  • Amortization Payment Date shall have the meaning set forth in Section 2(d).

  • Call Option Repayment Date means the settlement date for the Call Option determined by the Issuer pursuant to Clause 10.2 (Voluntary early redemption – Call Option), Clause 10.3(d) or a date agreed upon between the Bond Trustee and the Issuer in connection with such redemption of Bonds.

  • Change of Control Purchase Price shall have the meaning specified in Section 10.1.

  • Default Repayment Date means the settlement date set out by the Bond Trustee in a Default Notice requesting early redemption of the Bonds.

  • Loan Payment Date means any date on which any Bond Service Charges are due and payable.

  • Termination Payment Date means the date on which the RECIPIENT is required to repay to ECOLOGY any outstanding balance of the loan and all accrued interest.

  • Make-Whole Fundamental Change Period shall have the meaning specified in Section 14.03(a).

  • Repurchase Date has the meaning specified in Section 14.1.

  • Make-Whole Fundamental Change Effective Date means (A) with respect to a Make-Whole Fundamental Change pursuant to clause (A) of the definition thereof, the date on which such Make-Whole Fundamental Change occurs or becomes effective; and (B) with respect to a Make-Whole Fundamental Change pursuant to clause (B) of the definition thereof, the applicable Redemption Notice Date.
