Charterer Group definition

Charterer Group means, individually and collectively, the Charterer and its subsidiaries, its and their co-venturers, contractors and subcontractors and its and their Affiliates, and the employees, invitees and insurers of all of those entities, but shall expressly exclude the Owner Group.
Charterer Group means the Charterer, each of the Co-venturers, its and their Affiliates, and its and their subcontractors at all levels, but shall not include any member of the Owner Group;

Examples of Charterer Group in a sentence

  • Notwithstanding any other contract or other claim of right, from and after the date of execution of this Charter and until the termination or expiration of this Charter, the Charterer Group shall not enter any contract or agreement or perform or omit any act that in any way materially limits or impairs, or the effect of which would be to materially limit or impair, the ability of any member of the Charterer Group to comply with and fulfill its obligations set forth in the Charter Documents.

  • All such insurance shall be primary and noncontributory and shall be exclusive of any existing valid and collectible insurance carried by Charterer Group for those risks and liabilities expressly assumed by Owner under this Charter.

  • Owner shall save, indemnify, defend, protect and hold harmless Charterer Group from any Claims suffered or incurred by Charterer Group based on a claim that the FPSO, or any design or technology with respect thereto, or any item of equipment or part thereof furnished hereunder by Owner Group (including all Owner Property) or their use by Charterer infringes any intellectual property rights or patents of any Third Party.

  • After payment of the fee, the licence shall be signed and forwarded to the Delegation of the Commission of the European Communities in Dakar.

  • Charterer shall save, indemnify, defend, protect and hold harmless Owner Group from any Claims suffered or incurred by Owner Group based on a claim that any item of Charterer Property or any design or technology with respect thereto or part thereof furnished by Charterer Group infringes any intellectual property rights or patents of any Third Party.

  • If any such Persons assert or attempt to establish or establish any interest in the mineral or hydrocarbon deposits, Owner shall save, indemnify, defend, protect and hold harmless Charterer Group from and against all claims, losses, damages, costs and expenses (including reasonable attorneys’ fees and other legal costs and expenses) resulting therefrom.

  • If any such drydocking or Offsite Repair Work is required for any reason primarily caused by a breach of this Charter by any of Charterer Group, Charterer shall continue to pay the full Hire Rate during any such drydocking or Offsite Repair Work.

  • Owner shall defend, indemnify, and hold harmless Charterer Group from and against any Claims, demands and causes of action which may arise as a result of damage to, shortages, or overages in inventory of such equipment.

  • Owner and any other members of Owner Group, and their respective officers, directors, employees, agents, subcontractors, successors and assigns shall have no equitable, legal or other interests in any mineral and hydrocarbon deposits which are known or which might be discovered in the Operating Area or by Charterer Group.

  • Without prejudice to Article 28 of this Charter, Owner shall assume all responsibilities and obligations and shall save, indemnify, defend, protect and hold harmless Charterer Group from all Claims with regard to such Personnel that may be imposed by virtue of any applicable laws and regulations imposed by any authority having jurisdiction including, but not limited to visas, permits, wages, benefits or other amounts due to such Personnel.

  • Charterer means a person, firm, corporation, association, partnership, or other legal entity who contracts for the transportation of passengers and baggage, or goods and/or property from a specified origin to a specified destination, for a particular itinerary, agreed upon in advance.

  • Contractor Group means the Contractor, its subcontractors of any tier, its and their respective Affiliates, successors and permitted assignees, and its and their respective directors, officers, employees (including agency personnel);

  • Buyer’s Group means the Buyer, any subsidiary of the Buyer, any holding company of the Buyer and any subsidiary of any holding company of the Buyer, from time to time.

  • Seller’s Group means the Seller and any company which is, on or after the date of this Agreement, a subsidiary or holding company of the Seller or a subsidiary of a holding company of the Seller, and excludes, for the avoidance of doubt, any Group Company, and "Seller's Group Company" shall be construed accordingly.

  • Promoter Group means such persons and entities constituting the promoter group as per Regulation 2(1)(pp) of the SEBI ICDR Regulations.

  • Member means a member of the Board;

  • Supplier Group means the Supplier, its Affiliated Companies, its subcontractors and its and their respective employees, officers, directors, representatives, agents and invitees.

  • User Group means (a) you; (b) any entity or individual that Stripe reasonably determines is associated with you; and (c) each of your and their Affiliates; that has entered into an agreement with Stripe (or an Affiliate of Stripe) under which Stripe or its Affiliate provides services.

  • Seller Group means, at any time, the group of companies comprised of Xxxxx Fargo & Company and its subsidiaries at that time.

  • Customer Group means Customer and any of its Affiliates established and/or doing business in the EEA, or United Kingdom;

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • Work group means a crew or number of crews which work from a common point of assembly and perform work of a similar nature in a defined seniority block. Where more than one (1) work group works from a common point of assembly the work groups will be defined by the Employer.

  • Seller Group Member means (a) Seller and its Affiliates, (b) directors, officers and employees of Seller and its Affiliates and (c) the successors and assigns of the foregoing.

  • SAP Group means SAP Parent and any of its Associated Companies.

  • Purchaser’s Group means the Purchaser, its subsidiaries and subsidiary undertakings, any holding company of the Purchaser and all other subsidiaries of any such holding company from time to time;

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.

  • DBS Group means DBS Bank Ltd, its subsidiaries, affiliates, branches and related companies.

  • Minority group member means a United States citizen or permanent resident alien who is and can demonstrate membership in one of the following groups:

  • ISA Manager means Investec Bank plc.

  • Relevant Group means the Company and any affiliated, combined, consolidated, unitary or similar group of which the Company is or was a member.

  • Founding Companies has the meaning set forth in the third recital of this Agreement.

  • Brookfield Group means Brookfield and any Affiliates of Brookfield, other than any member of the BREP Group;

  • Sub-Manager Any Person with which the Property Manager or the Special Servicer has entered into a Sub-Management Agreement.
