It is the intent of the Company and the Noteholders that, for Federal, state and local income and franchise tax purposes only, the Class A-1 Notes will evidence indebtedness of the Company secured by the Class A Collateral.
The Class A Notes are and will be equally and ratably secured by the Class A Collateral pledged as security therefor as provided in the Indenture and the Series 2001-2 Supplement.
The term "Collateral Value" shall mean, as of any date of determination, the sum of (i) the Class A Collateral Value as of such date plus (ii) the Fair Market Value of the common stock of CKB Petroleum, Inc.
