Class A Common Member definition

Class A Common Member means any Member holding and to the extent it holds Class A Common Units.
Class A Common Member means a Member owning Class A Common Membership Interests. The initial sole Class A Common Member is EIL.
Class A Common Member means a Member holding a Class A Common Interest.

Examples of Class A Common Member in a sentence

  • Any Class A Common Member may participate in a meeting of the Members by means of conference telephone or other communications equipment by means of which all Persons participating in the meeting can hear each other, and participation in a meeting by such means shall constitute presence in person at such meeting.

  • Unless otherwise determined by the Class A Common Member, the Company shall be treated as a corporation for U.S. federal income tax purposes.

  • Except with respect to Transfers permitted in Section 7.2, no Member other than a Class A Common Member shall Transfer all or a portion of such Member's Membership Interest unless (i) such Member complies with Section 7.1, and (ii) such Member shall have first given written notice to the Company and the Class A Common Members of its intent to do so and such Transfer is thereafter completed in accordance with Section 7.3.5 hereof.

  • Unless the Company Notice specifies all of the Offered Interest, within ten (10) days after the mailing of the Company Notice, each Class A Common Member which desires to purchase a portion of the Offered Interest shall give a written notice (the "ELECTION NOTICE") to the Company specifying the maximum portion of the Offered Interest such Member wishes to purchase.

  • If at any time any Class A Common Member wishes to remove the Manager, such Class A Common Member shall notify the other Class A Common Members of its wish to remove the Manager and upon a vote of the holders of a majority of the outstanding Class A Common Units, the Manager shall be removed.

  • Class A Common Unit" means a Unit held by a Class A Common Member or Class A Unit Holder.

  • In the event that any Class A Preferred Member or Class A Common Member is required to disclose pursuant to the foregoing exceptions any information provided to such Member pursuant to this Section 10.3, such Member shall promptly notify the Company of such pending disclosure and assist the Company (at the Company’s expense) in seeking a protective order or in objecting to such request, summons or subpoena with regard to such information.

  • In the event any Class A Common Member, Class B Common Member or Class C Common Member has to make a filing under the HSR Act in connection with the Merger, the filing or similar type fee for such filing shall be paid by the LLC or one of its subsidiaries.

  • Except as specifically provided herein or otherwise required by applicable law, each Class A Common Member shall be entitled to one vote per Class A Common Unit held by such Class A Common Member.

Class A Common Member means each owner of record of Class A Common Units as of immediately prior to the Effective Time, but solely in such owner's capacity as an owner of Class A Common Units.
