Any Class A Common Member may participate in a meeting of the Members by means of conference telephone or other communications equipment by means of which all Persons participating in the meeting can hear each other, and participation in a meeting by such means shall constitute presence in person at such meeting.
Unless otherwise determined by the Class A Common Member, the Company shall be treated as a corporation for U.S. federal income tax purposes.

In the event any Class A Common Member, Class B Common Member or Class C Common Member has to make a filing under the HSR Act in connection with the Merger, the filing or similar type fee for such filing shall be paid by the LLC or one of its subsidiaries.
Except as specifically provided herein or otherwise required by applicable law, each Class A Common Member shall be entitled to one vote per Class A Common Unit held by such Class A Common Member.
