Any Class A Common Member may participate in a meeting of the Members by means of conference telephone or other communications equipment by means of which all Persons participating in the meeting can hear each other, and participation in a meeting by such means shall constitute presence in person at such meeting.

In the event any Class A Common Member, Class B Common Member or Class C Common Member has to make a filing under the HSR Act in connection with the Merger, the filing or similar type fee for such filing shall be paid by the LLC or one of its subsidiaries.
