For the avoidance of doubt, any amendment or modification pursuant to this Section 11.10(c) (Amendments) that adversely affects (i) the interests of the Class A Noteholders shall require the consent of the Class A Committed Note Purchasers and Class A Conduit Investors and (ii) the interests of the Class B Noteholders shall require the consent of the Class B Committed Note Purchasers and Class B Conduit Investors.
Each of the Class A Conduit Investors, the Class A Committed Note Purchasers and the Class A Funding Agents hereby designates and appoints Deutsche Bank AG, New York Branch as the Program Agent and hereby authorizes the Program Agent to take such actions as agent on their behalf and to exercise such powers as are delegated to the Program Agent by the terms of this Series 2021-A Supplement together with such powers as are reasonably incidental thereto.
