Within three (3) Business Days following its receipt of a Class A Exchange Notice, the Managing Member may elect to settle all or a portion of the Class A Exchanged Units in cash in an amount equal to the Class A Cash Amount (in lieu of shares of Class A Common Stock), by giving written notice of such election to the Class A Exchanging Member within such three (3) Business Day period (such notice, the “Cash Exchange Notice”).
A Class A Exchanging Member may not revoke a Class A Exchange Notice delivered pursuant to Section 8.04(a) above without the consent of the Managing Member, which consent may not be unreasonably withheld, delayed or conditioned.
The giving of any notice pursuant to clause (x) shall terminate all of the Class A Exchanging Member’s, the Managing Member’s and Company’s rights and obligations under this Section 8.04 arising from such retracted Class A Exchange Notice, but shall not count against the maximum number of Class A Exchanges that a Class A Exchanging Member may effect in a calendar quarter.
A Class A Exchanging Member may not revoke a Class A Exchange Notice delivered pursuant to Section 8.04(a) above without the consent of the Managing Member, which consent may not be unreasonably withheld, delayed or conditioned, other than in accordance with Section 8.04(b)(ii).
