Class A Reset Date definition

Class A Reset Date means the first Class A Distribution Date immediately following September 26, 2024 or the immediately preceding Class A Reset Date, provided, however, that in the event of a Class A Failed Mandatory Remarketing, the date that is three (3) months following such Class A Failed Mandatory Remarketing Reset Date shall be a Class A Reset Date.
Class A Reset Date means, with respect to the Class A Limited Membership Interests, (i) June 28, 2007 and (ii) thereafter, July 15, 2012 and each 60-month anniversary of such date; provided that if such anniversary is not a Business Day, the Class A Reset Date shall be the first Business Day preceding such anniversary.
Class A Reset Date means (i) with respect to any Class A Remarketing prior to the second Scheduled Reset Date, June 28, 2007 and any other date on which a Class A Remarketing is required prior to the second Scheduled Reset Date and (ii) thereafter, any reset date established pursuant to Section 7.2(a) in connection with a Class A Remarketing conducted pursuant to Sections 7.1(d) and 7.2.

Examples of Class A Reset Date in a sentence

  • The Class A Preferred Return Rate is subject to reset as provided herein on each Class A Reset Date.

  • In the event the Company and all of such holders of Class A Limited Membership Interests reach agreement at least forty-five (45) days before such Class A Reset Date, the Class A Preferred Return Rate will be reset on the Class A Reset Date to the amount so agreed and will remain in effect until the next Class A Reset Date.

  • During the period commencing ninety (90) days and ending forty-five (45) days prior to a Class A Reset Date (the “Consultation Period”), the Company and the Class A Limited Members shall consult with one another (and the Administrative Agent (if any) shall coordinate such consultation) to determine whether the Company and the Class A Limited Members are able to agree upon a Class A Preferred Return Rate for the Class A Reset Period commencing on such Class A Reset Date.

  • The Class A Preferred Return Rate so determined on such Class A Reset Date shall remain in effect until the following Class A Reset Date.

  • The aggregate Preferred Return Capital of the Class A Members as of the initial Class A Reset Date is $248,120,718.

  • As evidenced by that certain Rate Reset Agreement dated May 29, 2007 by the Company, GMCO, RBDB and TPC, the Class A Limited Members agreed upon the Class A Preferred Return Rate for the June 28, 2007 initial Class A Reset Date as required by Section 7.1(b) of the Third Amended and Restated LLC Agreement and made certain related amendments to the Third Amended and Restated LLC Agreement.

  • In the event no agreement pursuant to this Section 7.1(b) is reached at least forty-five (45) days before the relevant Class A Reset Date, the Company shall, on a date no later than such Class A Reset Date, conduct an auction or mandatory remarketing (a “Class A Mandatory Remarketing”) to set the applicable Class A Preferred Return Rate pursuant to Section 7.1(c)(i).

  • In the event agreement is reached at least forty-five (45) days before such Class A Reset Date, the Class A Preferred Return Rate will be reset as of such Class A Reset Date pursuant to such agreement and will remain in effect until the following Class A Reset Date.

  • During the period commencing ninety (90) days and ending forty-five (45) days prior to each Class A Reset Date, the Company and the holders of all the Class A Limited Membership Interests shall consult with one another to determine whether they are able to agree upon a Class A Preferred Return Rate in advance of such Class A Reset Date.

  • In connection with each Class A Reset Date, the Capital Accounts of all the Members (including the Class A Limited Members) shall be redetermined as set forth in Section 7.1(d).

  • Class A-1 Interest Rate means 0.75000% per annum (computed on the basis of the actual number of days elapsed, but assuming a 360-day year).

  • Class A-2 Note Interest Rate means a rate per annum equal to %.

  • Class A-1 Note Interest Rate means a rate per annum equal to 0.64000%.

  • Class A Required Amount shall have the meaning specified in subsection 4.04(a).

  • Class A-1 Current Interest As of any Distribution Date, the interest accrued during the related Accrual Period at the Class A-1 Pass-Through Rate on the Class A-1 Certificate Principal Balance as of such Distribution Date plus the portion of any previous distributions on such Class in respect of Current Interest or a Class A-1 Interest Carry Forward Amount that is recovered as a voidable preference by a trustee in bankruptcy, less any Non-Supported Interest Shortfall allocated on such Distribution Date to the Class A-1 Certificates.

  • Class A-1 Rate means [ ]% per annum (computed on the basis of the actual number of days elapsed and a 360-day year).

  • Class A-2 Note Rate means, for (i) the initial Series 2005-1 Interest Period, 2.71% per annum and (ii) any other Series 2005-1 Interest Period, the sum of 0.06% plus LIBOR for such Series 2005-1 Interest Period.

  • Class A-1 Note Rate means, (i) with respect to the initial Series 2003-2 Interest Period, 1.32% per annum and (ii) with respect to each Series 2003-2 Interest Period thereafter, a rate per annum equal to One-Month LIBOR for such Series 2003-2 Interest Period plus 0.20% per annum.

  • Class A-2b Interest Rate means LIBOR + 0.16% per annum (computed on the basis of the actual number of days elapsed, but assuming a 360-day year).

  • Class A-2 Pass-Through Rate For any Distribution Date, a per annum rate equal to 3.0008%.

  • Class A Certificate Rate means, for any Interest Accrual Period with respect to the Class A Certificates, a per annum rate equal to LIBOR plus 0.11%.

  • Class A-1 Final Scheduled Distribution Date means the Distribution Date.
