Class A Restricted Voting Units definition

Class A Restricted Voting Units means BCAC’s Class A restricted voting units distributed to the public at an offering price of $10.00 per Class A restricted voting unit under the IPO Prospectus, each comprised of one Class A restricted voting share and one-half of a warrant;
Class A Restricted Voting Units means 35,000,000 Class A restricted voting units (or up to a maximum of 40,250,000 Class A restricted voting units to the extent the Over-Allotment Option is exercised) being offered to the public under this prospectus at an offering price of U.S.$10.00 per Class A Restricted Voting Unit (for an aggregate purchase price of U.S.$350,000,000 assuming no exercise of the Over-Allotment Option), each comprised of one Class A Restricted Voting Share and one-half of a Warrant, and each a “Class A Restricted Voting Unit”;
Class A Restricted Voting Units has the meaning specified in Recital A;

Examples of Class A Restricted Voting Units in a sentence

  • No CGGC Shares, CGGI Shares, CGGC Warrants, CGGC Class A Restricted Voting Units, CGGC Class B Units or Subscription Receipts have been issued in violation of any Law or any pre-emptive or similar rights applicable to them.

  • With the exception of this Agreement, the Warrant Agency Agreement, the Subscription Receipt Agreement, the agency agreement related to the offering of the Subscription Receipts and the underwriting agreement related to the initial public offering of CGGC Class A Restricted Voting Units, to the best of CGGC’s Knowledge, there are or will be no other material contracts of or pertaining to CGGC or CGGI as of the date hereof or as of the Effective Time.

  • Notwithstanding the foregoing, each of the Agents, the Purchasers and the Subscription Receipt Agent acknowledges and agrees that it shall not be entitled to and waives any rights to or interest under any circumstances in any of the escrowed funds in the escrow account into which an amount equal to the gross proceeds of CGGC’s initial public offering of Class A Restricted Voting Units of CGGC have been deposited (the “IPO Escrow Funds”).


More Definitions of Class A Restricted Voting Units

Class A Restricted Voting Units means a Class A Restricted Voting unit of the Corporation, each such Class A Restricted Voting Unit consisting of one Class A Restricted Voting Share and one-half of one Warrant;

Class A Restricted Voting Units means the Class A restricted voting units distributed to the public by Gibraltar Growth at an offering price of $10.00 per Class A Restricted Voting Unit under a prospectus dated September 25, 2015, each comprised of one Class A Restricted Voting Share and one Warrant, and each a “Class A Restricted Voting Unit”;
Class A Restricted Voting Units means 22,500,000 Class A restricted voting units of the REIT LP, each comprised of one Restricted Voting Unit and one Right, and each a “Class A Restricted Voting Unit”;
Class A Restricted Voting Units means the 40,250,000 class A restricted voting units of BRND issued pursuant to the IPO, with each such class A restricted voting unit consisting of 1 Class A Restricted Voting Share and ½ Warrant;

Related to Class A Restricted Voting Units

  • Special Voting Units means, collectively, special voting units of the REIT, and “Special Voting Unit” means any one of them.

  • Class C Shares means the shares of Class C common stock of the Company.

  • Class B Units means the Class B Units of the Company.

  • Class B Ordinary Shares shall have the meaning ascribed to it in Section 2.4(a).

  • Class A Ordinary Shares shall have the meaning ascribed to it in Section 2.4(a).

  • Special Voting Unit means a special voting unit of the REIT;

  • Class A Units means the Units of partnership interest in the Partnership designated as the “Class A Units” herein and having the rights pertaining thereto as are set forth in this Agreement.

  • Class B Shares means the Class B ordinary Shares in the capital of the Company of $0.0001 nominal or par value designated as Class B Shares, and having the rights provided for in these Articles.

  • Class A Shares means the Class A ordinary Shares in the capital of the Company of $0.0001 nominal or par value designated as Class A Shares, and having the rights provided for in these Articles.

  • Class A Stock means the Company's Class A Common Stock, par value $0.01 per share.

  • Voting Preferred Stock means, with regard to any election or removal of a Preferred Stock Director (as defined in Section 8(b) below) or any other matter as to which the holders of Series E are entitled to vote as specified in Section 8 of this Certificate of Designations, any and all series of Preferred Stock (other than Series E) that rank equally with Series E either as to the payment of dividends or as to the distribution of assets upon liquidation, dissolution or winding up of the Corporation and upon which like voting rights have been conferred and are exercisable with respect to such matter.

  • Class D Units has the meaning ascribed to such term in the LLC Agreement.
