Class B-4 Common Stock definition

Class B-4 Common Stock has the meaning set forth in Section 2.2(a)(i).
Class B-4 Common Stock means the Class B Common Stock designated as Class B-4.
Class B-4 Common Stock and, together with the Class B-1 Common Stock, Class B-2 Common Stock and Class B-3 Common Stock, the “Class B Common Stock”), of which 627,579 are issued and outstanding as of the date of this Agreement; (E) 15,803,212 shares of which have been designated Class C Common Stock (the “Class C Common Stock”), of which 735,801 are issued and outstanding as of the date of this Agreement; and (F) 16,994,144 shares of which have been designated Class D Common Stock (the “Class D Common Stock”), of which zero are issued and outstanding as of the date of this Agreement. The Company holds 1,310,334 shares of Common Stock in its treasury.

Examples of Class B-4 Common Stock in a sentence

  • In any such vote, holders of Class B-1 Common Stock shall be entitled to six votes for each share of Class B-1 Common Stock held, holders of Class B-2 Common Stock shall be entitled to two votes for each share of Class B-2 Common Stock held, holders of Class B-3 Common Stock shall be entitled to one vote for each share of Class B-3 Common Stock held and holders of Class B-4 Common Stock shall be entitled to one-sixth of one vote for each share of Class B-4 Common Stock held.

  • The term “Class B Common Stock” shall mean, collectively, Class B-1 Common Stock, Class B-2 Common Stock, Class B-3 Common Stock and Class B-4 Common Stock.

  • The shares of Class B Common Stock shall be divided into the following series: 31,000,000 shares of Class B-1 Common Stock (the “Class B-1 Common Stock”), 25,000,000 shares of Class B-2 Common Stock (the “Class B-2 Common Stock”), 25,000,000 shares of Class B-3 Common Stock (the “Class B-3 Common Stock”), and 12,500,000 shares of Class B-4 Common Stock (the “Class B-4 Common Stock”).

  • Xxxxxx and Xxxxx have also agreed that the number of shares of Class B-4 Common Stock will be reduced on a pro rata basis by the number of shares issuable (prior to reduction for withholding tax pursuant to Section 2.4 ) in respect of SARs cancelled.

  • As of September 30, 2018, we had 1,576,616 shares of Common Stock, 3,491,758 shares of Class B-1 Common Stock, 3,492,954 shares of Class B-2 Common Stock, 7,159,759 shares of Class B-3 Common Stock, 313,790 shares of Class B-4 Common Stock and 691,733 shares of Class C Common Stock, 2,604,852 shares of Series B-1 Preferred Stock, 5,595,148 shares of Series B-2 Preferred Stock, 2,352,941 shares of B-3 Preferred Stock, and 22,000 shares of Series A Preferred Stock.

  • Except as permitted by this Section 2 of this Subdivision 2, any proposed Transfer of shares of Class B-1 Common Stock, Class B-2 Common Stock, Class B-3 Common Stock or Class B-4 Common Stock shall be void.

  • With respect to each such merger, the shares of Class B Common Stock issued will be split equally ( i.e., 25% each) between the Class B-1 Common Stock, the Class B-2 Common Stock, the Class B-3 Common Stock and the Class B-4 Common Stock.

  • Albers and Meris have also agreed that the nxxxxx of shxxxx of Class B-4 Common Stock will be reduced on a pro rata basis by the number of shares issuable (prior to reduction for withholding tax pursuant to Section 2.4) in respect of SARs cancelled.

  • Class C Common Stock means the Class C Common Stock, par value $0.01 per share, of the Company.

  • Class B Common Stock means the Class B Common Stock, par value $0.01 per share, of the Company.

  • Class A Common Stock means the Class A common stock, par value $0.01 per share, of the Company.

  • Class D Common Stock means the Class D Common Stock, par value $0.01 per share, of the Company.

  • Class B Common Shares means (x) the Company’s Class B Common shares, $0.002 par value per share, the terms of which may be designated by the board of directors of the Company in a certificate of designations and (y) any share capital into which such preferred shares shall have been changed or any share capital resulting from a reclassification of such preferred shares (other than a conversion of such preferred shares into Common Shares in accordance with the terms of such certificate of designations).

  • Class A Common Shares means shares of the Class A Common Stock, par value $.01 per share, of the Company.

  • Class B Ordinary Shares shall have the meaning ascribed to it in Section 2.4(a).

  • Company Class A Common Stock means the Class A Common Stock, par value $0.01 per share, of the Company.

  • Class B Ordinary Share means an Ordinary Share of a par value of US$0.0001 in the capital of the Company, designated as a Class B Ordinary Share and having the rights provided for in these Articles;

  • Class A Ordinary Shares shall have the meaning ascribed to it in Section 2.4(a).

  • Class A Common Units means the Company's Class A Common Units.

  • Company Class B Common Stock means the Class B common stock, par value $0.01 per share, of the Company.

  • Parent Class A Common Stock means the Class A Common Stock, par value $0.01 per share, of Parent.

  • Class B Common Units has the meaning set forth in Section 1(a) hereof.

  • Parent Class B Common Stock means the Class B Common Stock, par value $0.01 per share, of Parent.

  • Class A Common Unit means a Common Unit having the rights and obligations specified with respect to Class A Common Units in this Agreement.

  • Class A Ordinary Share means an Ordinary Share of a par value of US$0.0001 in the capital of the Company, designated as a Class A Ordinary Shares and having the rights provided for in these Articles;

  • Class B Common Unit means one of that certain class of Common Units with those special rights and obligations specified in this Agreement as being appurtenant to a “Class B Common Unit”.

  • Class A Ordinary Share Value means, as of the close of business on the day preceding the date, the volume weighted average trading price of the Class A Ordinary Shares on all trading platforms or trading systems on which the Class A Ordinary Shares are being traded over the forty-five (45) trading days then ended, provided, that if the total aggregate trading volume over such 45-trading-day period is less than 5% of the public float, such period shall be extended to the ninety (90) trading days then ended, provided, further, if the total aggregate trading volume over such 90-trading-day period is less than 5% of the public float, the holder of the Class B Ordinary Shares shall request that the Board obtain an appraisal of the value of the Class A Ordinary Shares from one or more independent nationally-recognized third party appraisal companies and such appraisal shall constitute the Class A Ordinary Share Value.

  • Class C Ordinary Share shall have the meaning ascribed to it in Section 2.4(a).

  • Class A Preferred Stock means the Class A Preferred Stock of the Company, par value $0.0001 per share.

  • Class A LP Units means the Class A limited partnership units of the Partnership.

  • Class A Stock means the Company's Class A Common Stock, par value $0.01 per share.

  • Class A Preferred Shares shall have the meaning ascribed to it in Section 2.4(a).

  • Class B Warrants means, collectively, the Common Stock purchase warrants in the form of Exhibit C attached hereto delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which warrants shall be exercisable immediately and have a term of exercise equal to one year.

  • Class B LP Units means, collectively, the Class B limited partnership units of the Partnership, and “Class B LP Unit” means any one of them.
