Class C Note Transfer definition

Class C Note Transfer is defined in Section 2.2(b).
Class C Note Transfer has the meaning specified in Section 2.4(i) of the Indenture.
Class C Note Transfer or “Class D Note Transfer,” as applicable) to any Person except in accordance with the provisions of this Section 2.2, and any attempted Class B Note Transfer, Class C Note Transfer or Class D Note Transfer in violation of this Section 2.2 will be null and void.

Related to Class C Note Transfer

  • Class C Note means any one of the Series 2024-2 6.01% Rental Car Asset Backed Notes, Class C, executed by ABRCF and authenticated by or on behalf of the Trustee, substantially in the form of Exhibit C-1, Exhibit C-2 or Exhibit C-3. Definitive Class C Notes shall have such insertions and deletions as are necessary to give effect to the provisions of Section 2.18 of the Base Indenture.

  • Class C Notes has the meaning assigned to such term in the Indenture.

  • Class D Notes has the meaning assigned to such term in the Indenture.

  • Class C Note Rate means 3.48% per annum.

  • Class C Note Balance means, at any time, the Initial Class C Note Balance reduced by all payments of principal made prior to such time on the Class C Notes.

  • Initial Class C Note Balance means $178,840,000.

  • Accrued Class C Note Interest means, with respect to any Payment Date, the sum of the Class C Noteholders’ Monthly Accrued Interest for such Payment Date and the Class C Noteholders’ Interest Carryover Shortfall for such Payment Date.

  • Class A-4 Note means any of the ___% Asset Backed Notes, Class A-4, issued under the Indenture.

  • Class D Note Balance means, at any time, the Initial Class D Note Balance reduced by all payments of principal made prior to such time on the Class D Notes.

  • Class C Noteholders means the holders of any Class C Notes from time to time.

  • Class C Noteholder means the Person in whose name a Class C Note is registered in the Note Register.

  • Initial Class D Note Balance means $206,860,000.

  • Class C Note Interest Rate means a per annum rate of [ ]% [in excess of LIBOR as determined on the LIBOR Determination Date for the applicable Interest Period].

  • Accrued Class D Note Interest means, with respect to any Payment Date, the sum of the Class D Noteholders’ Monthly Accrued Interest for such Payment Date and the Class D Noteholders’ Interest Carryover Shortfall for such Payment Date.

  • Series C Notes is defined in Section 1.

  • Class A-4 Note Balance means, as of any date, the Initial Class A-4 Note Balance reduced by all payments of principal made on or prior to such date on the Class A-4 Notes.

  • Class A-3 Note means any of the ___% Asset Backed Notes, Class A-3, issued under the Indenture.

  • Class D Noteholders means the holders of any Class D Notes from time to time.

  • Initial Class A-4 Note Balance means $75,000,000.

  • Class A-4 Note Interest Rate means a rate per annum equal to 2.11%.

  • Class C Note Principal Balance means, on any date of determination, an amount equal to (a) the Class C Note Initial Principal Balance, minus (b) the aggregate amount of principal payments made to the Class C Noteholders on or prior to such date.

  • Class D Noteholder means the Person in whose name a Class D Note is registered on the Note Register.

  • Class A-4 Notes means the Class A-4 1.04% Asset Backed Notes, substantially in the form of Exhibit A.

  • Class C Class D," "Class E," "Class F," "Class G," "Class H," "Class J," "Class K," "Class L," "Class M," "Class N," "Class O," "Class P," "Class R-I," "Class R-II" and "Class R-III" respectively, on the face thereof, in substantially the form attached hereto as Exhibits.

  • Class A-4 Noteholder means the Person in whose name a Class A-4 Note is registered in the Note Register.

  • Initial Class A-3 Note Balance means $380,000,000.
