Class C Redemption Price definition

Class C Redemption Price. As defined in Section 9.1(C) hereof.
Class C Redemption Price means an amount equal to the Class C Stated Liquidation Preference.

Examples of Class C Redemption Price in a sentence

  • Upon any Class C Redemption, an amount equal to the product of the Class C Redemption Price and the number of Class C Units redeemed by the Partnership shall be distributed by the Partnership to the Class C Limited Partner.

  • The Partnership shall effect any such redemption by paying cash for each Class C Preferred Unit to be redeemed equal to the Class C Redemption Price, plus an amount equal to all accumulated and unpaid distributions thereon to, but not including, the applicable Class C Redemption Date.

  • So long as the Class C Preferred Units to be redeemed are held of record by the nominee of the Class C Securities Depositary, the Class C Redemption Price, plus an amount equal to all accumulated and unpaid distributions thereon to, but not including, the applicable Class C Redemption Date shall be paid by the Paying Agent to the Class C Securities Depositary on the Class C Redemption Date.

  • The holders of the Class C Special Shares shall not be entitled to share in any further distribution of the assets of the Corporation other than or in excess of the Class C Redemption Price.

  • In the event of the liquidation, dissolution or winding up of the Corporation or other distribution of the assets of the Corporation among its shareholders for the purpose of winding up its affairs, the holders of the Class C Special Shares shall be entitled to receive the sum per share on each Class C Special Share equal to the Class C Redemption Price set forth in clause 5 hereof before any amount shall be paid to the holders of shares of any class ranking junior to the Class C Special Shares.

  • In the event that the stated capital per share of the Class C Special Shares should at any time be reduced and paid to the holders of the Class C Special Shares, the Class C Redemption Price for each Class C Special Share shall be reduced by an equal amount.

  • For the purposes hereof the "Class C Redemption Price" of each Class C Special Share is $1.00.

  • The Corporation may, upon giving written notice as hereinafter provided in Section 3.08, redeem or purchase the whole or any part of the Class "C" Shares held by one or more shareholders on payment for each share to be redeemed or purchased of the Class "C" Redemption Price.

  • After payment to the holders of the Class "C" Shares of the Class "C" Redemption Price for each such share as aforesaid, the holders of the Class "C" Shares shall have no further right or claim to any of the remaining assets of the Corporation.

  • Series A Redemption Price has the meaning set forth in Section 16.6(a).

  • Early Redemption Amount means in respect of each Note in circumstances where such Notes are redeemed early pursuant to Conditions 7(b) or (c), the outstanding principal amount of each Note, unless otherwise specified in the Final Terms or Series Offering Document, as applicable;

  • Make-Whole Redemption Price means, in respect of each Bond, (a) the principal amount of such Bond or, if this is higher, (b) the sum of the then present values of the remaining scheduled payments of principal and interest discounted to the Optional Redemption Date on an annual basis (based on the actual number of days elapsed divided by 365 or (in the case of a leap year) by 366) at the Reference Dealer Rate (as defined below) plus 0.15 per cent., in each case as determined by the Determination Agent;

  • Mandatory Redemption Price means $25,000 per share of AMPS plus an amount equal to accumulated but unpaid dividends (whether or not earned or declared) to the date fixed for redemption and excluding Additional Dividends.

  • Automatic Early Redemption Amount means the Automatic Early Redemption Amount specified in the relevant Final Terms.

  • Call and Put Redemption Amount means GBP 1 per Preference Share.

  • Redemption Amount means, as appropriate, the Final Redemption Amount, the Early Redemption Amount (Tax), the Optional Redemption Amount (Call), the Optional Redemption Amount (Put), the Early Termination Amount or such other amount in the nature of a redemption amount as may be specified in, or determined in accordance with the provisions of, the relevant Final Terms;
