Class C Redemption Price. As defined in Section 9.1(C) hereof.

  • After such reversion such bank or trust company shall, upon demand, pay over to the Corporation such unclaimed amounts and thereupon such bank or trust company shall be relieved of all responsibility in respect thereof to such holder and such holder shall look only to the Corporation for the payment of the Class C Redemption Price.

  • For the purposes hereof the "Class C Redemption Price" of each Class C Special Share is $1.00.

  • In the event of the liquidation, dissolution or winding up of the Corporation or other distribution of the assets of the Corporation among its shareholders for the purpose of winding up its affairs, the holders of the Class C Special Shares shall be entitled to receive the sum per share on each Class C Special Share equal to the Class C Redemption Price set forth in clause 5 hereof before any amount shall be paid to the holders of shares of any class ranking junior to the Class C Special Shares.

  • Upon receipt of a Class C Notice with respect to the redemption of Class C Common Stock, each holder of shares of Class C Common Stock shall surrender such holder’s certificate or certificates for all such shares to the Corporation at the place designated in such notice, and shall thereafter receive a payment from the Corporation equal to the number of shares of Class C Common Stock owned by such holder multiplied by the Class C Redemption Price (the “Class C Redemption Payment”).

  • As soon as practicable after the determination of the Class C Redemption Price (and unless such information was previously included in the Class C Notice), the Corporation shall send a written notice to the holders of Class C Common Stock setting forth the Class C Redemption Price.

  • On the 10th day after the date of the mailing of the said notice, the Corporation shall pay or cause to be paid to such holder the Class C Redemption Price for each such Class C Special Shares which shall thereupon be redeemed, provided that the Corporation may waive notice of such redemption and such waiver may be given either before or after redemption of such Class C Special Shares.

  • In the event that the stated capital per share of the Class C Special Shares should at any time be reduced and paid to the holders of the Class C Special Shares, the Class C Redemption Price for each Class C Special Share shall be reduced by an equal amount.

  • The Class C Special Shares to be redeemed on any Redemption Date pursuant to paragraphs 5(a) or 5(b) above shall be redeemed by paying for each share in cash an amount equal to $0.95 plus all accrued but unpaid dividends thereon up to and including the date the redemption price is received by the holder (the "Class C Redemption Price").

  • Once the Class C Redemption Price and/or the Class B Redemption Price has been paid by the Corporation with respect to shares of Class B Common and/or Class C Common being redeemed pursuant to this Section 7 of Part C of these Articles, either in cash or by delivery of a Note in accordance with clause (d) above, such shares of Class B Common and/or Class C Common shall no longer be deemed to be outstanding, shall be canceled and shall not be subject to reissuance by the Corporation.

  • Series A Redemption Price has the meaning set forth in Section 16.6(a).

  • Triggering Redemption Amount means, for each share of Preferred Stock, the sum of (a) the greater of (i) 130% of the Stated Value and (ii) the product of (y) the VWAP on the Trading Day immediately preceding the date of the Triggering Event and (z) the Stated Value divided by the then Conversion Price, (b) all accrued but unpaid dividends thereon and (c) all liquidated damages and other costs, expenses or amounts due in respect of the Preferred Stock.
