Class D Member definition

Class D Member means any Person admitted as an additional member of the Company holding Class D Shares or a substitute member of the Company holding Class D Shares pursuant to the provisions of this Agreement, in each case in its capacity as a member of the Company holding Class D Shares and for so long as such Person continues to hold Class D Shares.

Class D Member means a holder of a Class D Membership Interest.

Class D Member means a Member holding Class D Units.

Examples of Class D Member in a sentence

• Any Class D Member who does not elect Class D Golf Designation shall not be allowed to elect Class D Golf Designation at a later date without the express approval of the Foundation, in the Foundation's sole and absolute discretion.

• Upon the admission of a Person as a Class B or Class C or Class D Member or substitute Class B or Class C or Class D Member, such Person shall be registered on the records of the Company as a Class B or Class C or Class D Member, together with such Person’s address and the amount of such Person’s Membership Interest.

• For clarification, a purchaser of a Class D Lot may maintain the status of Class D Membership for such Class D Lot, until such Class D Member chooses to purchase another class of membership.

• Other than as expressly set forth herein, the Class B or Class C or Class D Members shall not have any right to take part in the management of the business or affairs of the Company or to act for or bind the Company, and the exercise by a Class B or Class C or Class D Member or its representative of the rights of such Class B or Class C or Class D Member under this Agreement or the Act shall not be deemed to be the conduct or control of the business of the Company.

• Under circumstances requiring a return of any Capital Contribution or constituting a withdrawal of a Class B or Class C or Class D Member, no Class B or Class C or Class D Member shall have the right to receive property other than cash except as may be specifically provided in this Agreement.

More Definitions of Class D Member

Class D Member means each Person admitted to the Company as a Member and who holds Class D Common Shares.

Class D Member means the “Class D Member” as defined in the AMID GP LLC Agreement.

Class D Member means each Person designated as a Member holding Class D Units on the Member Schedule, any successor(s) to all or any part of any such Person’s Class D Units in the Company, or any other Person admitted as a Member of the Company holding Class D Units pursuant to this Agreement, each in the capacity as a Member of the Company holding only Class D Units, unless such Person has ceased to be a Member. No Class D Member shall have the right to vote or otherwise approve any action by the Members in any respect whatsoever with respect to such Member’s Class D Units, except as required by the Act or by applicable law or pursuant to Section 11.2.

Class D Member means any Member owning Class D Units as set forth on the Member Schedule.

Class D Member means a Member that holds any Class D Units, including any fractional Class D Units. The initial Class D Member will be CIC. CIC has obtained a grant from the Capital Magnet Fund in the amount of $3.1 million, of which CIC will make a Commitment of at least $3 million to the Company.

Class D Member means that entity, as defined in the Agreement, which received Class D membership interests in exchange for Class C membership interests as part of the recapitalization of the Company.

Class D Member has the meaning set forth in Section 2.9.
