Subject to the articles, there shall be nine (9) classes of Members in the Corporation, namely, the Class A Member, the Class B Members, the Class C Member, the Class D Member, the Class E Member, the Class F Member, the Class G Member, the Class H Members and the Class I Members.

In cases where an Additional Member is admitted to the Company, it shall be designated as either a Preferred Member, a Class A Member, a Class B Member, a Class C Member, a Class D Member, a Class E Member, a Class F Member, a Class G Member and/or a Class H Member, and its Preferred Units, Class A Units, Class B Units, Class C Units, Class D Units, Class E Units, Class F Units, Class G Units and/or Class H Units shall be designated by the Management Committee.
In addition, at any time during which a JH Designee is not serving as a Manager, due to such person’s resignation or removal without the filling of the resulting vacancy or otherwise, the Special Approval Rights of the JH Designee under the Operating Agreement are instead vested in Talent in her capacity as a Class F Member of Company or controlling affiliate of a Class F Member, and not as a Manager.
Each Member of the Company shall be a Preferred Member, Class A Member, Class B Member, Class C Member, Class D Member, Class E Member, Class F Member, Class G Member and/or Class H Member, and each category of Member shall have the rights set forth herein.

All reclassification requests and applications as a Class F Member (Affiliate Member) must be on behalf of a business firm or other qualifying organization that meets with the approval of the Executive Committee or of the Board (any such approval to be in the discretion of the Executive Committee or of the Board, as the case may be) and is interested in the growing, management, or production of turfgrass.
Candidates from Class F Member organizations may run for seats reserved for Class F Members.
