Class Failure definition

Class Failure means a defect solely caused by (i) Jabil’s failure to manufacture any Product to conform to the Specifications or other requirements in this Agreement, (ii) the failure of Jabil to comply with any applicable law, rule, regulation, court order or decree that is applicable to Jabil’s performance of its obligations set forth in this Agreement, or (iii) the gross negligence or willful misconduct of Jabil’s personnel performing Manufacturing Services for Company under this Agreement; wherein, such defect occurs in [*] or more of the total number of a particular Product (as identified by the applicable Product serial numbers) supplied under this Agreement over a rolling [*] period within the Warranty Period.

Class Failure means a defect caused by (i) Kin Yat’s failure to manufacture the Product to conform to the Specifications or other requirements in this Agreement, or (ii) the failure of Kin Yat to comply with any applicable law, rule, regulation, court order or decree that is applicable to Kin Yat’s performance of its obligations set forth in this Agreement, or (iii) the gross negligence or willful misconduct of Kin Yat’s personnel performing Manufacturing Services for iRobot under this Agreement; wherein, such defect occurs in more than [***], attributable to the same root cause, of the total number of a particular Product (as identified by the applicable Product serial numbers) supplied under this Agreement over a rolling [***] period within the Warranty Period. Examples of Class Failure in a sentence

• If any such recall, withdrawal, field correction or seizure is due to a Class Failure (as defined above), then the rights, remedies and obligations under Sections 5.4 and 5.6 shall apply.

• In the event any Class Failure or Recall of a Product results from a breach of any of the warranties under this Agreement during the Warranty Period, then Kin Yat shall promptly refund to iRobot the full purchase price paid for all Products subject to such Class Failure or Recall, and all other reasonable costs to cure the Class Failure or Recall (example: shipping costs, partner penalties etc).

• Class Failure and Credit Recovery –Each Monday, the Academic Dean will run a grade report to identify students below a 70% mark.

• Class Failure RemediationIn a two-semester course, if a student earns an F the first semester and a grade of D or better the second semester, the first semester F may be remediated to a D.

• Upon the occurrence of any of the following events: (i) a failure rate exceeding the rate specified in Section 10.5 above; (ii) an epidemic failure as described in Section 9.2; or (iii) a safety standard change under Section 7.5 above (each referred to as a "Class Failure"), Philips will have the following additional remedies for a three-year period commencing upon receipt by Philips' end-user customer of the OEM Product or the corresponding Philips Product.

• In the event a Class Failure is determined to exist as described in this section, Agilent may upon written notice to Flextronics suspend deliveries under any further Purchase Orders for the relevant affected Products without penalty until Flextronics can demonstrate that the cause of the Class has been corrected in respect of the relevant Purchase Order(s).

• All costs including materials, labor, shipment and inventory replacement arising from a Class Failure will be borne by the responsible party depending on whether the cause is due to Agilent Requirements or Manufacturer Deliverables.

• All system components that experience a Class Failure during testing shall be replaced by Contractor prior to acceptance by MTD.

Class Failure means the occurrence of (i) a Material Defect, experienced in test or in the field, in greater than two and one-half percent (2.5%) monthly of all Products purchased by XPLORE hereunder over a rolling ninety (90) day period, or (ii) a defect in the Products causing a safety hazard which threatens life, equipment or property.

Class Failure shall have the meaning set forth in Section 8.5.

Class Failure means the occurrence of the same failure in any FRU assemblies or 10% of a particular type of FRU, within a one (1) month period provided that such failure is attributable to Manufacturer or repair provider.

Class Failure means a cumulative return rate for a specific Product of at least five percent (5%); provided however, defects related to Software shall only be included as a Class Failure if (i) the defect cannot be fixed by download, (ii) the defect is known as "catastrophic" such that the Product cannot perform basic functions and is inoperable, and (iii) the defect is directly attributable to ODM. A "Class Failure" occurring before the Effective Date shall mean a cumulative return rate of at least eight percent (8%).
