Class H Shares definition

Class H Shares means the Class H Shares issued to the Class H Members having the rights, obligations and terms specified in this Agreement.

Class H Shares the "Class I Shares", the "Class J Shares", the "Class K Shares", the "Class L Shares", the "Class M Shares, and the "Class N Shares", respectively. The Portfolio contains two classes of Shares: the Class K Shares and the Class N Shares.

Class H Shares means Ordinary Shares issued as Class H Shares whichmay be denominated in US Dollars, Euros, Sterling, Yen, Swiss Francs or Norwegian Krone and/or such other currency par value as the Directors may determine from time to time.

• The performance of Class B Shares and Class H Shares will differ due to differences in expenses.

• All Class H Shares shall be of equal rank and shall be identical, except in respect of the matters that may be fixed by the Board of Directors as hereinafter provided, and each share of a series shall be identical with all other shares of such series, except as to the dates from which dividends shall accrue and be cumulative.

• The Class H Shares may be issued from time to time in one or more series.

• Of the 750,000 authorized Class H Shares, 410,000 shares are designated as a series entitled “7 3/8% Class H Cumulative Redeemable Preferred Shares” (hereinafter called “7 3/8% Class H Preferred Shares”).

• Investments into Class H Shares shall require the consent of the Board of Directors.

• Class H Shares pay a service fee at the annual rate of 0.25% of the net assets of the Class and a distribution fee at the annual rate of 0.75% of the average daily net assets of the Class.

• Each of the Funds identified on Appendix 1 as having a Class H share 12b-1 Plan shall pay LFDI monthly a service fee at the annual rate of 0.25% of the net assets of its Class H Shares on the 20th of each month and a distribution fee at the annual rate of 0.75% of the average daily net assets of its Class H Shares.

• Class H Shares will generally be offered only to other mutual funds for which Hatteras Funds, LLC serves as investment adviser (the “Advisor”), employees of the Advisor and Trustees of the Trust.

• Class H Shares are subject to an Operating Services Fee of 0.25%.

• Of the 750,000 authorized Class H Shares, 410,000 shares are designated as a series entitled "7 3/8% Class H Cumulative Redeemable Preferred Shares" (hereinafter called "7 3/8% Class H Preferred Shares").

More Definitions of Class H Shares

Class H Shares means Shares designated as “H” ordinary shares, the rights of which are set out in Annexure “A”, and the holders of which shall have their details reflected in the Securities Register;

Class H Shares or “H Shares” means the class “H” Shares of the Company which shall be (i) granted with the rights provided under these By-laws to the Class C Shares, save for the right to designate a Director pursuant to Article 27.1 (which, therefore, shall not apply), and (ii) subject to the restrictions and obligations applicable to Class C Shares (including, without limitation, the restrictions on Transfer of Shares and the Drag-Along Right) under these By-laws, to the maximum extent applicable and mutatis mutandis, as well as the other restrictions provided under these By- laws for Class H Shares. In light of the above, it remains understood that, for the sake of clarity, with respect to any right, restriction and obligation which, for the purposes of these By-laws, are attached to Class H Shares, any applicable reference to C Shareholders shall be read as a reference to H

Class H Shares shall have the meaning assigned thereto in subsection 4.1(g)(i).

The Fund may from time to time issue additional series or classes of Shares or classify and reclassify shares of such series or class. Provident shall identify to each such series or class property belonging to such series or class and in such reports, confirmations and notices to the Fund called for Under this Agreement shall identify the series or class to which such report, confirmation or notice pertains.
