Class H Shares definition

Class H Shares means the Class H Shares issued to the Class H Members having the rights, obligations and terms specified in this Agreement.

Class H Shares the "Class I Shares", the "Class J Shares", the "Class K Shares", the "Class L Shares", the "Class M Shares", the "Class N Shares", the "Class O, Shares", the "Class P Shares", and the "Class Q Shares", respectively. The Portfolio currently contains one class of Shares: the Class P Shares.

Class H Shares means Ordinary Shares issued as Class H Shares whichmay be denominated in US Dollars, Euros, Sterling, Yen, Swiss Francs or Norwegian Krone and/or such other currency par value as the Directors may determine from time to time.

Examples of Class H Shares in a sentence

• Investments into Class H Shares shall require the consent of the Board of Directors.

• The current minimum holding is USD5,000 or equivalent except for Class H Shares where the minimum is USD50,000 or equivalent, and for Class D Shares, Class DD Shares, Class I Shares, Class I A, Class J Shares, Class S Shares, Class T Shares, Class U Shares, Class X Shares, Class Z Shares and Class ZI Shares where there is no required minimum holding once the initial subscription amount has been made.

• Class "H" Shares is hedging the currency exposure against the reference currency of the Sub-Fund and are reserved to Institutional Investors.

• The purpose of the conditional increase of the share capital, referred to in section 4, is to grant the right to subscribe for Class H Shares to the holders of subscription warrants issued by the Bank under Resolution no.

• For all the Sub-Fund s Class H Shares, Class I Shares, Class R Shares and Class P Shares are available as Accumulation Shares "C".

• An up-to-date list of launched Share Classes can be obtained from the registered office of the ICAV or the Investment Manager.ClassDescriptionClassDescriptionClassDescription * For Class A, Class B and Class H Shares this means EUR 5,000, GBP 4,000, CHF 5,000, JPY 500,000, SGD 7,000 or equivalent to USD 5,000 in any other currency.

• The current minimum holding is USD5,000 or equivalent except for Class H Shares where the minimum is USD50,000 or equivalent, and for Class D Shares, Class DD Shares, Class I Shares, Class I A, Class J Shares, Class S Shares, Class T Shares, Class U Shares, Class X Shares and Class Z Shares where there is no required minimum holding once the initial subscription amount has been made.

• The Fund has initially designated 100 Shares as Class A Shares, 22,499,950 Shares as Class B Shares, 12,499,950 Shares as Class C Shares and 2,499,950 Shares per class of Class D through Class H Shares.

• The Class H Shares are only available to specific investors introduced by the Sub-Investment Manager (Halcyon Liquid Strategies UCITS Management LP).

• Class B Shares through to Class H Shares have equal distribution and liquidation rights, although Shares of a particular Class are subscribed for and redeemed in accordance with the Net Asset Value of the Shares of that Class and, on a solvent winding-up, surplus assets attributable to a particular Class of Shares will be distributed to the holders of the Shares of that Class.

More Definitions of Class H Shares

Class H Shares means Shares designated as “H” ordinary shares, the rights of which are set out in Annexure “A”, and the holders of which shall have their details reflected in the Securities Register;

Class H Shares or “H Shares” means the class “H” Shares of the Company which shall be (i) granted with the rights provided under these By-laws to the Class C Shares, save for the right to designate a Director pursuant to Article 27.1 (which, therefore, shall not apply), and (ii) subject to the restrictions and obligations applicable to Class C Shares (including, without limitation, the restrictions on Transfer of Shares and the Drag-Along Right) under these By-laws, to the maximum extent applicable and mutatis mutandis, as well as the other restrictions provided under these By- laws for Class H Shares. In light of the above, it remains understood that, for the sake of clarity, with respect to any right, restriction and obligation which, for the purposes of these By-laws, are attached to Class H Shares, any applicable reference to C Shareholders shall be read as a reference to H

Class H Shares shall have the meaning assigned thereto in subsection 4.1(g)(i).

The Fund may from time to time issue additional series or classes of Shares or classify and reclassify shares of such series or class. Provident shall identify to each such series or class property belonging to such series or class and in such reports, confirmations and notices to the Fund called for Under this Agreement shall identify the series or class to which such report, confirmation or notice pertains.
