Class N Shares definition

Class N Shares means Class N Shares in the Company as set forth in the relevant
Class N Shares means Class N Shares in the Company as set forth in the relevant Supplement relating to each Fund;
Class N Shares means Shares designated as “N” ordinary shares, the rights of which are set out in Annexure “A”, and the holders of which shall have their details reflected in the Securities Register;

Examples of Class N Shares in a sentence

  • This Amended and Restated Plan has been approved by a vote of the Board and of the Independent Trustees and replaces the Fund's prior Distribution and Service Plan for Class N Shares.

  • The record holders of the Class N Shares as maintained in the books and records of the Company or its transfer agent.

  • The portion of the NAV allocable to Class N Shares, calculated pursuant to the Valuation Guidelines.

  • The Company may offer, from time to time, and the Dealer Manager may distribute, on a “best efforts” basis (the “Follow-on Offering”) additional Class A Shares, Class I Shares, Class N Shares and/or Class T Shares of the Common Stock in a primary offering and/or pursuant to the Company’s distribution reinvestment plan; provided, that Class N Shares may be so offered only pursuant to DRIP following the conversion of Class T Shares.

  • The Class A Shares, Class D Shares, Class I Shares, Class N Shares, Class T Shares Class S Shares, Class M-I Shares, Class T2 Shares and Class Z Shares.

  • No selling commission is payable in connection with sales of any Class I Shares or Class N Shares sold as Primary Shares or DRIP Shares, as the case may be.

  • For transfer agency services provided directly by Janus Services, Class N Shares of the Trust shall compensate Janus Services reasonable out-of-pocket expenses incurred in connection with any services performed directly by Janus Services as transfer agent.

  • For the avoidance of doubt and notwithstanding anything herein to the contrary, the Dealer Manager shall not be entitled to any commissions, fees or other compensation with respect to the Class N Shares.

  • Holders of Common Shares, Investor Shares, Institutional Shares and Institutional Service Shares of the Selling Funds will receive Class N Shares, Class I Shares, Class S Shares, Class Y Shares or Class YS Shares of the corresponding Acquiring Funds, as set forth on Schedule A attached hereto.

  • In no event will the Performance Component exceed 10.0% of the Annual Total Return allocable to Class A Shares, Class D Shares, Class I Shares, Class N Shares or Class T Shares, as applicable, for any calendar year.
