Cleanup Redemption definition

Cleanup Redemption shall have the meaning specified in Section 16.03.
Cleanup Redemption. Sea may redeem for cash all but not part of the Notes at any time if less than US$250 million aggregate principal amount of Notes remains outstanding at such time, at a redemption price equal to 100% of the principal amount of the Notes to be redeemed, plus accrued and unpaid interest to, but excluding, the redemption date. Such redemption at Sea’s option is referred to herein as a “cleanup redemption”. See “Description of the Notes—Cleanup Redemption” in the Convertible Notes Preliminary Prospectus Supplement. Sea will give notice of any cleanup redemption not less than 44 nor more than 60 scheduled trading days before the redemption date (provided that if Sea elects physical settlement for conversions that occur during the related redemption period, Sea may provide not less than 10 business days’ nor more than 30 business days’ notice before the redemption date) to the trustee, the conversion agent (if other than the trustee), the paying agent (if other than the trustee) and each holder of Notes. Cleanup Redemption shall have the meaning specified in Section 11.03(a).

  • An exchange of Notes called for Optional Redemption, Cleanup Redemption or Tax Redemption shall be deemed to be “in connection with” such Optional Redemption, Cleanup Redemption or Tax Redemption, respectively, if the relevant Notice of Exchange is received by the Exchange Agent during the relevant Redemption Period.

  • The Issuer may redeem Notes early pursuant to Condition 6 (Redemption, Substitution and Variation, Purchase and Cancellation) of the English Law Conditions or Condition 5 (Redemption, Purchase and Cancellation) of the French Law Conditions, depending on the specification of the relevant Final Terms, following the exercise of a Residual Maturity Redemption Option, a Clean-up Redemption Option, a Make-Whole Redemption Option or an Issuer Call Option.

  • Tax Redemption The meaning specified in Section 9.3(a) hereof.

  • Special Redemption has the meaning set forth in Section 15.1.A hereof.

  • Minimum Redemption means, in relation to the Euro Non-RDR ‘Retail’ Unhedged Distribution Shares, a minimum redemption of €250 or such lesser amount as may be agreed by the Directors;

  • Special Redemption Price has the meaning set forth in paragraph 4(a) of Annex I.

  • Indenture Redemption Price has the meaning specified in Section 4.2(c).

  • Term Redemption Date means, with respect to any Series, the date specified as the Term Redemption Date in the Appendix for such Series.

  • Series A Redemption Date has the meaning set forth in Section 16.6.

  • Note Redemption Date means, with respect to any Notes to be redeemed under the Indenture, the date fixed for redemption of such Notes under the Indenture.

  • Final Redemption Date means for each Series, the final redemption date specified in the Final Terms for such Series.

  • Tax Event Redemption Price means an amount equal to the unpaid principal amount of this Note to be redeemed, which shall be determined by multiplying (1) the Outstanding Principal Amount of this Note by (2) the quotient derived by dividing (A) the outstanding principal amount to be redeemed by Principal Life of the Funding Agreement by (B) the outstanding principal amount of the Funding Agreement.

  • Special Redemption Date has the meaning set forth in Section 10.2.

  • Make-whole Redemption Rate means the sum, as calculated by the Make-whole Calculation Agent, of the Benchmark Rate and the Make-whole Margin.

  • Special Event Redemption Price has the meaning specified in Section 11.2.

  • Make-Whole Redemption Amount means the sum of:

  • Tax Event Redemption means, if a Tax Event shall occur and be continuing, the redemption of the Notes, at the option of the Company, in whole but not in part, on not less than 30 days nor more than 60 days' written notice.

  • Final Redemption Amount means, in respect of any Note, its principal amount or such other amount as may be specified in, or determined in accordance with, the relevant Final Terms;
