Closing Backlog definition

Closing Backlog means the aggregate dollar amount of all unfilled orders for products and services of the Company and its international business units/sales and service organizations as of the Closing Date.
Closing Backlog means (x) if the Closing Date is on the first day of a calendar month, the consolidated Backlog of RSP and RSP-TW calculated by dividing (A) the sum of the consolidated Backlog of RSP and RSP-TW on the following three dates: (i) the last day of the third full calendar month ended prior to the Closing Date, (ii) the last day of the second full calendar month ended prior to the Closing Date and (iii) the last day of the first full calendar month ended prior to the Closing Date, divided by (B) three; or (y) if the Closing Date is not on the first day of a calendar month, the consolidated Backlog of RSP and RSP-TW calculated by dividing (A) the sum of the consolidated Backlog of RSP and RSP-TW on the following three dates: (i) the last day of the second full calendar month ended prior to the Closing Date, (ii) the last day of the first full calendar month ended prior to the Closing Date and (iii) the last day of the month in which the Closing Date occurs, divided by (B) three.
Closing Backlog means the closing backlog shown on Seller’s books in the Ordinary Course of Business as of the Closing Date related to customers listed in Section 1.1(a).

Examples of Closing Backlog in a sentence

  • At the request of Buyers, representatives of Seller shall be available to answer questions with respect to the determination of the Deferred Revenue Liability and the Closing Backlog and shall provide such documentation and information used in Seller’s determination of the Assumed Payables, the Deferred Revenue, the Material Contract Closing Backlog and the Non-Material Contract Closing Backlog.

  • Notwithstanding the foregoing, the Parties agree that if the amount of Closing Backlog is materially lower than $30,900,000, then the Parties will negotiate in good faith regarding an equitable adjustment to the Purchase Price adjustment contemplated by this Section 1.05.
