Closing Base Price definition

Closing Base Price means USD$2.86.
Closing Base Price means the volume weighted average price (VWAP) of the common stock during the thirty (30) trading days immediately preceding the date of the Closing. “Discount” equals the greater of (A) and (B) minus the lesser of (A) and (B) multiplied by 0.25 where (A) is the VWAP of the common stock during the thirty (30) trading days immediately preceding October 26, 2020 (which was $4.54 per share) multiplied by 1.25(which is $5.675); and (B) is the Closing Base Price. By way of example, if the Closing Base Price is $10 per share (making B greater than A), the calculation would be $10-$5.675(which is $4.325) multiplied by 0.25 (which makes the Discount $1.08). $10-$1.08 results in a per share purchase price of $8.92.
Closing Base Price means (i) the Base Purchase Price, (ii) less the Payoff Amount, (iii) less the Estimated Underage, and (iv) plus the Estimated Overage.

Related to Closing Base Price

  • Closing Value means, as of a particular date, the value of a Share determined by the closing sales price for such Share (or the closing bid, if no sales were reported) as quoted on The New York Stock Exchange for the last market trading day prior to the date of determination, as reported in The Wall Street Journal or such other source as the Administrator deems reliable.

  • Added value means that the Contractor performs subcontract management functions that the Contracting Officer determines are a benefit to the Government (e.g., processing orders of parts or services, maintaining inventory, reducing delivery lead times, managing multiple sources for contract requirements, coordinating deliveries, performing quality assurance functions).

  • Estimated Closing Balance Sheet has the meaning set forth in Section 2.6(a).

  • Locational Price Adder means an addition to the marginal value of Unforced Capacity within an LDA as necessary to reflect the price of Capacity Resources required to relieve applicable binding locational constraints.

  • Estimated Closing Cash has the meaning set forth in Section 2.4(a).

  • Closing Purchase Price shall have the meaning ascribed to such term in Section 2.1(b), which aggregate purchase price shall be net of the underwriting discounts and commissions.

  • Purchase Price Adjustment Escrow Amount means $500,000.

  • Purchase Price Adjustment shall have the meaning specified in Section 3.02.

  • Stored value means monetary value that is evidenced by an electronic record.

  • Estimated Value means the value of the Contract estimated under these Contract and Procurement Regulations.

  • Assigned Value means the Market/Offer Price, as defined in Section 7.

  • Closing Average Share Value means the average, over the trading days in the Closing Average Period, of the closing price of the company’s stock multiplied by the Accumulated Shares for each trading day during the Closing Average Period.

  • RI Closing Value means, in respect of a Reference Item and a ST Valuation Date, the Settlement Level (as defined in the Equity Linked Conditions) on such ST Valuation Date.

  • Closing Cash Amount shall have the meaning set forth in Section 2.8(b).

  • Closing Cash means the aggregate amount of Cash of the Company as of the Effective Time.

  • Closing Date Purchase Price shall have the meaning set forth in Section 2.1 hereof.

  • Underlying Reference Closing Price Value means, in respect of a SPS Valuation Date, the Closing Level in respect of such day.

  • Inventory Value has the meaning set forth in Section 2.1.

  • Closing Adjustment Amount shall have the meaning set forth in Section 3.2(c).

  • Release Price As defined in Section 4.5(a).

  • Closing Balance Sheet has the meaning set forth in Section 2.4(a).

  • Preliminary Closing Balance Sheet shall have the meaning set forth in Section 2.3(c)(i).

  • Base Purchase Price has the meaning set forth in Section 2.2.

  • Approved Valuation Firm means (a) each of (i) Xxxxxxxx Xxxxx Xxxxxx & Xxxxx, (ii) Lincoln International LLC (f/k/a Lincoln Partners LLC), (iii) Duff & Xxxxxx Corp. and (iv) Valuation Research Corporation, and (b) any other nationally recognized valuation firm approved by each of the Borrower and the Administrative Agent in their sole reasonable discretion.

  • Purchase Price Date means the date the Purchase Price is delivered by Lender to Borrower.
