Closing Date Collateral Loans definition

Closing Date Collateral Loans means the Collateral Loans set forth on the Closing Date Collateral Loan Schedule.
Closing Date Collateral Loans means the Collateral Loans identified on Schedule H.
Closing Date Collateral Loans means the Collateral Loans set forth on the Closing Date Collateral Loan Schedule. “Code” means the Internal Revenue Code of 1986.

  • Until the end of the Assignment Period, (x) the Borrower shall not purchase any debt obligation unless the Borrower purchases an assignment of such debt obligation, such that such debt obligation is owned and held by the Borrower as a lender of record, and (y) other than with respect to the Closing Date Collateral Loans, the Borrower shall not purchase any Participation Interests.

  • It is the intention of the parties hereto that the conveyance of all right, title and interest in, to and under the Collateral (including, without limitation, the Closing Date Collateral Loans) to the Buyer as provided in this Article II shall constitute an absolute sale, conveyance and transfer conveying good title, free and clear of any Lien and that the Collateral shall not be part of the Seller’s bankruptcy estate in the event of an Event of Bankruptcy with respect to the Seller.

  • Seller shall direct all Obligors, administrative agents and loan agents (as applicable) with respect to the participated Closing Date Collateral Loans and the Collateral related thereto to pay any Collections with respect thereto into the Collection Account.

  • Upon receipt by Buyer or the Collateral Agent of the effective assignment of any Closing Date Collateral Loans and the Collateral participated pursuant to this Section 2.04, Seller, for value received, hereby sells, assigns, transfers and conveys to Buyer, and Buyer hereby irrevocably -10- purchases and assumes from Seller (i) all of Seller’s right, title and interest in, to and under the assigned Closing Date Collateral Loans and (ii) all right, title and interest with respect thereto.

Related to Closing Date Collateral Loans

  • Collateral Loan means a Senior Secured Loan, a Senior Secured Bond, a First Lien/Last Out Loan or a Second Lien Loan or a Participation Interest in any Senior Secured Loan, First Lien/Last Out Loan or Second Lien Loan that as of the date of acquisition by the Borrower meets each of the following criteria:

  • Additional Collateral Loan Each Mortgage Loan that is supported by Additional Collateral.

  • Closing Date Term Loans means the Term Loans made by the Term Lenders on the Closing Date to the Borrower pursuant to Section 2.01(1).

  • First Lien Loans means the “Loans” (or any comparable term) as defined in the First Lien Credit Agreement.

  • Closing Date Mortgaged Property as defined in Section 3.1(h).

  • Closing Date Term Loan Commitment means, in the case of each Lender that is a Lender on the Closing Date, the amount set forth opposite such Lender’s name on Schedule 1.1(b) as such Lender’s Closing Date Term Loan Commitment. The aggregate amount of the Closing Date Term Loan Commitments as of the Closing Date is $820,000,000.

  • First Lien Loan A Mortgage Loan secured by a first lien Mortgage on the related Mortgaged Property.

  • Closing Date Term Loan has the meaning set forth in Section 2.4(a).

  • Second Lien Loans means the “Loans” as defined in the Second Lien Credit Agreement and shall, for the avoidance of doubt, include Incremental Second Lien Loans.

  • Funding Date is any date on which a Credit Extension is made to or for the account of Borrower which shall be a Business Day.

  • Incremental Facility Closing Date has the meaning set forth in Section 2.14(d).

  • Closing Date Refinancing means the repayment, repurchase, redemption, defeasance or other discharge of the Existing Debt Facility and termination and/or release of any security interests and guarantees in connection therewith.

  • Term Loan Collateral means all of the assets of any Grantor, whether real, personal or mixed, upon which a Lien is granted or purported to be granted to any Term Loan Agent under any of the Term Loan Collateral Documents.

  • Initial Loans means the Eligible Loans evidenced by the Notes sold on the Closing Date pursuant to the Initial Purchase Agreement and related documentation, together with any guaranties and other rights relating thereto including, without limitation, Interest Subsidy Payments and Special Allowance Payments.

  • Replacement Loans has the meaning specified in Section 10.01.

  • First Lien Last Out Loan Any Collateral Obligation that would be a Senior Secured Loan except that, following a default, such Collateral Obligation becomes fully subordinated to other senior secured loans of the same Obligor and is not entitled to any payments until such other senior secured loans are paid in full.

  • Tranche A Borrowing Base means, at any time of calculation, an amount equal to:

  • Term Loan Priority Collateral as defined in the Intercreditor Agreement.

  • Second Lien Loan A Mortgage Loan secured by a second lien Mortgage on the related Mortgaged Property.

  • Term Loan Collateral Agent means Credit Suisse, Cayman Islands Branch, as collateral agent for the lenders under the Term Loan Credit Agreement, together with its respective successors and permitted assigns under the Term Loan Credit Agreement exercising substantially the same rights and powers, or such other agent as may from time to time be appointed thereunder.

  • Incremental Loans has the meaning assigned to such term in Section 2.22(a).

  • Tranche A Loans means the Loans made pursuant to the Tranche A Commitment.

  • First Lien Term Loans means the “Term Loans” as defined in the First Lien Credit Agreement.

  • Loan Closing Date means the date upon which the Loan is made to the Company.

  • First Lien Loan Documents means the “Loan Documents” as defined in the First Lien Credit Agreement.

  • Additional Collateral Mortgage Loan Each Mortgage Loan identified as such in the Mortgage Loan Schedule.
