Closing Date Working Capital Adjustment Amount means (i) if Closing Date Working Capital is greater than the Target Working Capital Upper Threshold, the positive amount equal to Closing Date Working Capital minus the Target Working Capital Upper Threshold, (ii) if Closing Date Working Capital is lower than the Target Working Capital Lower Threshold, the negative amount equal to Closing Date Working Capital minus the Target Working Capital Lower Threshold, or (iii) otherwise, $0.
Closing Date Working Capital Adjustment Amount means (a) if Closing Date Working Capital is greater than the Working Capital Target, the positive amount equal to Closing Date Working Capital minus the Working Capital Target, (b) if Closing Date Working Capital is less than the Working Capital Target, the negative amount equal to Closing Date Working Capital minus the Working Capital Target, or (c) otherwise, $0.
Closing Date Working Capital Adjustment Amount means an amount of Dollars (expressed as a positive or negative number, as applicable) equal to the amount by which the Closing Date Working Capital is greater than or less than the Estimated Working Capital. “Closing Debt Amount” means the aggregate amount of all unpaid Debt of the Acquired Company immediately prior to Closing as determined in accordance with the Accounting Principles. “Closing Purchase Price” is defined in Section 2.3(a). “Code” means the Internal Revenue Code of 1986, as amended. “Confidentiality Agreement” means that certain confidentiality agreement, dated as of September 15, 2023, by and between MPLX LP and Summit Midstream Holdings, LLC.

Closing Date Working Capital Adjustment Amount means (a) with respect to CPV Power Holdings LP, an amount, which may be positive or negative, equal to (i) the Closing Date Working Capital Amount of CPV Power Holdings LP minus (ii) the Target Working Capital Amount of CPV Power Holdings LP, (b) with respect to CPVI, an amount, which may be positive or negative, equal to (i) the Closing Date Working Capital Amount of CPVI minus (ii) the Target Working Capital Amount of CPVI and (c) with respect to CPV REC, an amount, which may be positive or negative, equal to (i) the Closing Date Working Capital Amount of CPV REC minus (ii) the Target Working Capital Amount of CPV REC.
Closing Date Working Capital Adjustment Amount means the difference, if any, between $29,729,000 and the Company's Closing Date Estimated Working Capital determined as provided in Section 1.3(c).

  • Working Capital Adjustment Amount has the meaning set forth in Section 2.1(b)(ii). Section 1.2
