• As promptly as practicable after the Closing, the Company shall distribute the Closing Press Release and shall file the Closing Filing with the SEC.

Closing Filing means an amendment to Schedule TO and/or Form 8-K announcing the closing of the Transactions and the completion of the Warrant Tender Offer, together with, or incorporating by reference such other information that may be required to be disclosed with respect to such results in any report or form to be filed with the SEC.
