Closing Sum definition

Closing Sum shall have the meaning set forth in Section 11.1 of this Agreement. 1.19 Code. “Code” shall mean the Internal Revenue Code of 1986, as amended from time to time. 1.20

Closing Sum shall have the meaning set forth in Section 1.13(c)(i)(1).

Examples of Closing Sum in a sentence

• All costs and expenses incurred in connection with any closing pursuant to Section 11.1 shall be paid by the Member incurring such costs, and no deductions shall be made from the Closing Sum for deemed closing costs.

• Within 3 Business Days after the determination of which Shareholder is the purchasing Shareholder, the purchasing Shareholder shall be obligated to deposit with Barclays Bank plc (or its successor) or such other financial escrow institution reasonably approved by the non-purchasing Shareholder as escrow agent (“Escrow Agent”), a cash deposit (“Deposit”) equal to two percent (2%) of the Closing Sum as security for its obligation to complete the purchase.

• Xxxx, in an amount equal to the Duff Percentage of the Closing Sum.

• The Assignment Price is subject to adjustment for the following reasons: adjustment for increased/decreased electricity revenue and/or SREC revenue due to early/delayed meeting of the Contingency Deadline and closing with delivery of all documentation and the Deposit and Closing Sum (subject to adjustment as set forth above).

• The Buyer has, or has commitments from banks or other lending institutions (copies of which have been shown to the Sellers) for, all funds the Buyer will need to pay the Purchase Price to the Sellers (including paying the Closing Sum to the Sellers on the Closing Date) and to fulfill its other obligations under this Agreement.

• The Certificate is one of a duly authorized issue of Certificates designated as Certificates of the series specified on the face hereof (herein called the "Certificates") and representing an interest in the Class of Certificates specified on the face hereof equal to the quotient expressed as a percentage obtained by dividing the Certificate Balance of this Certificate specified on the face hereof by the aggregate initial Certificate Balance of the Class F Certificates.

• The Deposit and portions of the Closing Sum shall be paid to satisfy liens on the System, if any, with the remaining balance paid to the Assignor.

• Xxxxxxx, in an amount equal to the Xxxxxxx Percentage of the Closing Sum.
