CoffeeCo Parties means CoffeeCo, the CoffeeCo Subsidiaries, the Transferred Subsidiaries, DutchCo and any other Subsidiary of CoffeeCo or DutchCo (including those formed or acquired after the date hereof).

Examples of CoffeeCo Parties in a sentence

  • The Xxxx Xxx Parties and the CoffeeCo Parties shall have received all material Governmental Approvals and Consents required to have been received prior to the CoffeeCo Contribution, Distribution, the CoffeeCo Special Dividend and Merger and all material Third-Party Consents necessary to effect the CoffeeCo Contribution, Distribution, the CoffeeCo Special Dividend and Merger and to permit the operation of the CoffeeCo Business after the Distribution Date.

  • Any such discovery shall be conducted expeditiously and shall not cause the hearing which may be provided for in Section 12.5 to be adjourned except upon consent of both the Xxxx Xxx Parties and the CoffeeCo Parties or upon a showing of cause demonstrating that such adjournment is necessary to permit discovery essential to a Party to the proceeding.

  • If either the Xxxx Xxx Parties or the CoffeeCo Parties fail to appoint an arbitrator, or if the two party-appointed arbitrators fail to appoint the Chair, within the time periods specified herein, such arbitrator shall, at the request of any Party, be appointed by the AAA.

  • From and after the Effective Time, the CoffeeCo Parties will be responsible for obtaining and maintaining all insurance coverages in their own right.

  • The Xxxx Xxx Parties and CoffeeCo Parties will each select one arbitrator within 15 days of the receipt by respondent of a copy of the Arbitration Demand Notice.

  • All authority (other than express written authority) of any employee of any Xxxx Xxx Party to act on behalf of any CoffeeCo Party, or of any employee of any CoffeeCo Party to act on behalf of any Xxxx Xxx Party, shall automatically be revoked and withdrawn as of immediately prior to the Effective Time with no further act on the part of any of the Xxxx Xxx Parties or CoffeeCo Parties.

  • Xxxx Xxx and the CoffeeCo Parties will use their respective commercially reasonable efforts to obtain all Governmental Approvals and Consents and all Third-Party Consents that are required or appropriate in connection with the Separation.

  • Each of the Xxxx Xxx Parties and the CoffeeCo Parties agrees that the procedures set forth in this Article XII shall be the sole and exclusive remedy in connection with any dispute, controversy or claim relating to any of the foregoing matters.

  • The CoffeeCo Parties shall, without further consideration therefor, pay and remit to the applicable Xxxx Xxx Party promptly all monies, rights and other consideration received in respect of such performance.

  • To the extent applicable, each of the Xxxx Xxx Parties and CoffeeCo Parties shall repay its respective Intercompany Indebtedness in accordance with the terms of such Intercompany Indebtedness.

Related to CoffeeCo Parties

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Transferred Entities means the entities set forth on Schedule 1.5.

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.

  • Seller Group means, at any time, the group of companies comprised of Xxxxx Fargo & Company and its subsidiaries at that time.

  • Dte. GHS means Directorate General and Health Services, MOH&FW.

  • Seller Affiliates has the meaning ascribed thereto in Section 2.8.

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • Seller Parties has the meaning set forth in the preamble to this Agreement.

  • Seller Entities means, collectively, Seller and all Seller Subsidiaries.

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.

  • Acquired Entities means the Company and the Company Subsidiaries.

  • SpinCo shall have the meaning set forth in the Preamble.

  • Target Companies has the meaning set forth in the recitals.

  • Company Parties means the collective reference to Holdings and its Restricted Subsidiaries, including the Borrower, and “Company Party” means any one of them.

  • Parent Parties means Parent and Merger Sub.

  • Company Entities means the Company and the Company Subsidiaries.

  • Operating Companies means EAI, EMI, ELI and ENOI, each being an "Operating Company".

  • Buyer Entities means, collectively, Buyer and all Buyer Subsidiaries.

  • Related Entities means contractors and subcontractors of a Party at any tier; grantees, investigators, customers, and users of a Party at any tier and their contractors or subcontractor at any tier; or, employees of the Party or any of the foregoing.

  • In loco parentis means relating to the responsibility to undertake the care and control of another person in the absence of:

  • Selling Parties has the meaning assigned to such term in the Preamble.

  • SAP Group means SAP Parent and any of its Associated Companies.

  • Xxxx Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.

  • Buyer Parties means Buyer, Owner, the Lenders and each of their Affiliates and all of their respective directors, officers, agents, advisors, engineers, contractors, consultants, representatives, assigns, employees and any other Person acting on behalf of any of them or in representation, interest, benefit thereto.

  • Group Companies means, collectively, the Company and each of its Subsidiaries.

  • Promoter Group means such persons and entities constituting the promoter group as per Regulation 2(1)(pp) of the SEBI ICDR Regulations.
