Collaboration Fees definition

Collaboration Fees means any up-front monetary consideration received by Licensee or its Affiliates from a Collaboration Partner (which is not a payment funding a program of research and/or development, a reimbursement for prior research funding (including additional funding over cost) or a royalty based upon Bucast Product sales) including, but not limited to: (i) license fees; (ii) milestone payments of the type customarily made; (iii) annual maintenance fees; and (iv) bonus payments.

Examples of Collaboration Fees in a sentence

  • Licensee shall pay to Licensor any Collaboration Fees due hereunder within ten (10) days of receipt by Licensee or its Affiliate of the consideration giving rise to an obligation to make a payment to Licensor hereunder.

  • Such Collaboration Fees shall be due and payable by Tenant to Landlord on the dates and in such manner as such Collaboration Fees and other sums above specified are due under the Collaboration Agreement.

  • The License Agreement is hereby amended to eliminate Licensee’s obligation to pay any Sales Royalty thereunder or any other obligation arising under Section 6 of the License Agreement, including with respect to any Guaranteed Minimum Royalty or reporting requirements thereunder; provided, however, the termination right set forth in Section 8.2(a)(i) of the License Agreement shall instead be triggered by Licensee’s uncured failure to timely pay Collaboration Fees pursuant to the Collaboration Agreement.

  • The Collaboration Fees shall be deemed to be Additional Rent under this Lease.
