Collar Price definition
Collar Price has the meaning set forth in Section 1.02(d).
Collar Price shall be whichever of the following applies:
Collar Price means U.S.$54.422, being the volume-weighted average trading price in U.S. dollars of the RBC Common Shares on the NYSE as reported by Bloomberg LP for the five (5) consecutive trading days ending on the last Business Day preceding the date of the Combination Agreement, rounded to the nearest one-tenth of one cent (U.S.$0.001).

Neither AIMCO nor any of its affiliates (as defined in Rule 12b-2 under the Exchange Act), directly or indirectly, bid for or purchased or attempted to induce any person to bid for or purchase AIMCO Common Stock from the fifth business day prior to the first day of the period in which the AIMCO Collar Price was determined until the last day of the period in which the AIMCO Collar Price was determined.

Collar Price shall be an amount equal to the average of the daily weighted average prices of the Acquirer Common Stock on NASDAQ as reported on the NASDAQ website for each of the fifteen (15) trading days ending one (1) trading day prior to the Effective Time (“Market Value”), subject to the limitations that in the event that such weighted average price exceeds $13.00 the Collar Price shall be $13.00 and in the event such weighted average price is less than $11.50 the Collar Price shall be $11.50. At the Effective Time, each Share shall cease to be outstanding, shall be cancelled and shall cease to exist, and each certificate (a “Certificate”) formerly representing any of the Shares (other than Excluded Shares and Dissenting Shares) shall thereafter represent only the Merger Consideration specified herein.
Collar Price means (a) if the Average Buyer Stock Price is below or equal to the Low End Collar Price, the Low End Collar Price, (b) if the Average Buyer Stock Price is between the Low End Collar Price and the High End Collar Price, the Average Buyer Stock Price and (c) if the Average Buyer Stock Price is equal to or greater than the High End Collar Price, the High End Collar Price.
