The Corporation shall not be required, upon valid exercise of any Warrants after the Commencement Time and prior to the Expiry Time, to issue fractions of Shares or to distribute certificates which evidence the same.
Subject to the terms and conditions set forth herein, this Warrant may be exercised at any time or from time to time during the period commencing on Exercise Period Commencement Time and ending at the earlier to occur of (a) 5:00 p.m. (New York City time) on the tenth (10th) anniversary of the Exercise Period Commencement Date and (b) 5:00 p.m. (New York City time) on the day immediately prior to the occurrence of a Purchaser Subscription Default with respect to the Holder (the “Exercise Period”).
At the Commencement Time, at each Applicable Time and at each Settlement Date, the General Disclosure Package will not contain any untrue statement of a material fact or omit to state any material fact necessary in order to make the statements therein, in the light of the circumstances under which they were made, not misleading.
Any notice given pursuant to the preceding sentence, and the Company’s notice of the Commencement Time, may be given by telephone (confirmed promptly by telecopy or email, which confirmation will be promptly acknowledged).
Subject to the further provisions hereof, the Warrants may be exercised at any time during the period commencing on the Commencement Time and terminating at the Expiry Time (subject to Section 3.3) in accordance with the conditions herein and subject to adjustment in accordance with Article 4.
