In the event any of the Transferred Subsidiaries, Indirect Subsidiaries, Buyers or the Business receives any reimbursement from any Governmental Authority with respect to the Reimbursable Committed Capital Expenditures, whether prior to, at or following the Closing, any such reimbursed amounts (net of any Taxes, costs or expenses actually incurred by such reimbursed party) shall be promptly paid to Mallinckrodt UK.
