Committed Purchasers definition

Committed Purchasers is defined in Section 1.1(b).

Committed Purchasers means PNC and each other Person that is or becomes a party to this Agreement in the capacity of a “Committed Purchaser”.

Committed Purchasers means MUFG and each other Person that is or becomes a party to this Agreement in the capacity of a “Committed Purchaser”.

Examples of Committed Purchasers in a sentence

• The Administrative Agent shall in all cases be fully justified in failing or refusing to take action under any Transaction Document unless it shall first receive such advice or concurrence of the Group Agents or the Majority Group Agents, as the case may be, and assurance of its indemnification by the Committed Purchasers, as it deems appropriate.

• If the Administrative Agent receives such a notice, it shall promptly give notice thereof to each Group Agent, whereupon each Group Agent shall promptly give notice thereof to its respective Conduit Purchaser(s) and Related Committed Purchaser(s).

• Upon the occurrence of an Event of Default described in Section 5.1(iii) or (iv) of the Indenture, the Purchase Termination Date shall be deemed to have occurred automatically, and the Commitments of the Committed Purchasers, if any, hereunder shall be deemed to have terminated.

• Without the prior consent of the Administrative Agent and the Issuer, a CP Conduit may not enter into an Assignment with any Assignee other than (i) one or more of its Committed Purchasers, or (ii) one or more other Persons which, after giving effect to such Assignment and any concurrent Assignments, will be CP Conduits having Committed Purchasers which have, aggregate new Commitments equal to the aggregate reductions of Commitments pursuant to the preceding sentence.

• During the pendency of a Termination Event, the Agent may reallocate any outstanding Investment of the Committed Purchasers to a Prime Tranche.

More Definitions of Committed Purchasers

Committed Purchasers means, collectively, the Persons identified as “Committed Purchasers” on Schedule 1 (Purchaser Groups).

Committed Purchasers has the meaning set forth in the preamble to this Agreement.

Committed Purchasers means the Three Pillars Committed Purchaser(s), the Blue Ridge Committed Purchaser(s) and the Falcon Committed Purchaser(s).

Committed Purchasers means, collectively, ABN, BNS, Deutsche Bank, Dresdner, JPMorgan, BNP Paribas and WCMC, as each such term is defined in the definition of “Ownership Group,” and any of their successors and permitted assigns, and such other purchasers as shall become parties to the Series 2000-1 Note Purchase Agreement as Committed Purchasers.
